Dilution is an important consideration when you raise more money to fund your business. Atlanta Ventures has created a simple template for you to quickly see how the founders’ ownership stake changes when you complete additional funding rounds based on the amount raised and the pre-money valuation of each raise. Using the template below, follow these simple steps:

1. Input the pre-money valuation of the company for the raise as well as any option pool that must be taken into account

2. Input the investment amount for both founders and investors as well as their ownership stake before the raise

3. For subsequent rounds, input only the pre-money valuation and the investment amount for each party - ownership stake before raise will automatically populate

4. Make sure that each yellow box has a value in it for each round you want to include in the analysis - all cells with black numbers should not be touched

*Note that the values for "Funding Round 1" have been filled in as an example; Any option pool is assumed to come directly from the founders' ownership stake

While there will likely be multiple founders and multiple investors, this template is designed to provide a high-level view of how shares will change as you raise more rounds for the business.
