RPA Clause 14A, the Disclosure Document Delivery timing clause, was noted as "inverted" compared to many real estate contracts from the perspective of "usefulness" in negotiations as well as the traditional concept of "transfer of title" whiich is stated in and supported by clause 13B of this contract.

Clause 14A and clause 13B are in confflict with each other from a controlling party perspective, and we believe clause 14A is actualy a fully invalid / illegal clause when compared to California 1102.3 and 1102.6 which govern Disclosure Documents and Delivery Timing in the State of California.

1) It allowed the delivery of all disclosure documents up to 7 days after ratification, with no requirements of delivery prior to ratification. That makes Disclosure Documents useless to round out "As Is" condition understanding to make a proper offer for purchase.Their uselessness contradicts the "practicable" purpose of disclosure documents as conveyed in CA Code 1102.3. That raises questions about the validty of this clause. 2) Furthermore, with this clause, A buyer who was not provided alll expected disclosure documents was only granted the option to terminate,without the option to force deliery. That means there is no "Title Transfer" at time of contract ratifiation as it typically expected, even though Clause 13 documents were not delivered in time frame specified after contract ratifcation, buyers only option was to terminate tranaction, with no ability to force delivery

A delivery of lause contradicts the "practibility" purpose for them as stated in CA Code 1102.3A, which governs delivery of disclosure documents. Thus the idea of Equitable Title at time of Ratification does not exist, even though contact clause 13b declares it to exist with clarity at time of contract ratifcation. There is a clause conflict in this Contract. Clause 14A and Clause 13B as written are incompatible.

3Claim for AntiiTrust / Consumer ProtectionWe believe exsiting California Code in 1102.3 and 1102.6 taken at simple and face value with no implied content, combined with contract clause 13b as written, shows the CAR approved RPA Contract clause 14A contradicts California Code both literally and in intention. We believe it was intentionally included in the RPA with a known false for anti-competitive purposes that benefitted the Seller and all brokers and for broker protection. We feel all buyers who were forced to engage in a contract with clause 14A and the other "inverted clauses" that had to e crated to support it have suffered tremendous financial and emotional harm.
