This addendum to the Software License Agreement relates exclusively to the Same-Or-Similar (SOS) Services via the TeamDME! Gateway (GATEWAY).

1. Services. The GATEWAY allows CUSTOMER to check SOS for Medicare patients. TEAMDME! contracted with IVANS (an approved NSV) to send CUSTOMER SOS checks via the GATEWAY.

2. Fidelity. CUSTOMER warrants that all SOS checks will be appropriately authorized by each patient.  If TEAMDME! reasonably suspects that CUSTOMER is using the GATEWAY to obtain Same-Or-Similar information without authorization, TEAMDME! may suspend CUSTOMER access to the GATEWAY without notice. TEAMDME! shall have no liability and CUSTOMER shall have no recourse other than a return of unearned fees.

3. Indemnification. TEAMDME! and CUSTOMER agree to indemnify and hold the other harmless against any and all claims, damages, expenses, and costs, including, without limitation, extracontractual damages, court costs, attorney's fees, punitive and exemplary damages, resulting from or arising out of any errors or omissions in either party’s performance under this Agreement. The parties hereby agree this indemnification shall apply to all services provided pursuant to this Agreement and shall survive the termination of this Agreement.

4. Force Majeure. Neither party shall be liable for damages or have the right to terminate this Agreement for any delay or default in performing hereunder if such delay or default is caused by conditions beyond its control including but not limited to acts of God, wars, insurrections and/or any other cause beyond the reasonable control of the party whose performance is affected (including mechanical, electronic, communication, telecommunication or internet failure or failure of IVANS or CMS).

5. Excessive Use. The GATEWAY is a shared resource limited by IVANS. Should CUSTOMER use exceed 200% of the typical customer usage, TEAMDME may notify CUSTOMER and access additional fee(s).

6. Resources.  If you do not have a Username/Password for CSI/VPIQ access, use the following URLs to apply to your closest DMAC. Once you have been approved, use the other URLs to apply to other regions your patients may have history within.  The system will check all regions automatically for which you have been approved;
