Volunteer Writer Program Agreement


This agreement dated as noted below (the "Agreement") is between You, A Volunteer Writer (“You” or the "Volunteer Writer") and Stars and Celebs, LLC (the "Company") and sets forth the terms and conditions of Your voluntary participation in the Company’s Volunteer Writer Program (the “Program”).  


WHEREAS, You have been asked to submit writing samples and/or articles for the StarsandCelebs.com pursuant to its Volunteer Writer Program.  Under the Program, if Your articles are accepted and published on StarsandCelebs.com they could be viewed by millions of people worldwide; and


    WHEREAS, the Company has agreed to allow You to participate in the Program provided You agree to the terms of this Agreement; and


    WHEREAS, Volunteer Writer accepts the offer to participate in the Program by checking the Acceptance box at the bottom of this form.


    Based upon the mutual promises and covenants set forth herein, the parties agree as follows:


        The Program.  The Company shall provide as part of the Program various suggested topics and subjects Volunteer Writer can consider.  Such list will be on the Company online site (the “System”) and will be updated from time-to-time.  The Company will also provide on the System information on the acceptable format that should be used for the submitted articles.  The Company will review and consider for publication articles submitted by Volunteer Writer.  Such articles can be but are not required to be about the suggested topics.


        Articles.  As a participant in the Program, Volunteer Writer can write and submit articles (the “Articles”) to the Company at any time.  The specific topics and the contents of the articles are entirely at the discretion of the Volunteer Writer.  The Volunteer Writer is under no obligation to submit any articles.  The Volunteer Writer can submit as many or as few articles as he/she chooses.


    Relationship/Work for Others.  The parties agree that participation in the Program is entirely voluntary.  Voluntary Writer has no obligation to submit any Articles or perform services under the Program.  The decision to accept any Articles for publication is entirely up to the discretion of the Company and the Company is under no obligation to accept any submitted Articles for publication.  This Agreement, and participation in the Program, shall not render the Volunteer Writer an employee, partner, agent of or joint venture with the Company for any purpose.  The Volunteer Writer is and will remain a Volunteer in his/her relationship to the Company.  The Writer is expressly free to perform any services, including writing Articles for any other parties while submitting Articles under the Program; provided, however, that Volunteer Writer cannot submit an Article that has been submitted under the Program and accepted for publication by the Company to third parties without prior written approval of the Company.


    Term.  This Agreement in terminable at the will of the parties.  The Volunteer Writer can cease participating at any time, for any reason.  Likewise, the Company can terminate this Agreement or the entire Program at any time, for any reason.


    Compensation.  There is no monetary compensation or reimbursement of expenses for any Articles submitted and accepted for publication herein or for any other services rendered pursuant to this Agreement or the Program.  A Volunteer Writer is authorized to cite to any Article published by the Company.  Volunteer Writer shall have no claim against the Company hereunder or otherwise for wages, pay or any benefits, including vacation pay, sick leave, retirement benefits, social security, workers’ compensation, health or disability benefits, unemployment insurance benefits or other employee benefits of any kind on account of any Articles or services provided under the Program or this Agreement. .


    Original Content.  Volunteer Writer represents and warrants that any Article submitted is Volunteer Writer's original work, that the Article is not owned by any third party, that the Article is accurate, that the Article has not been obtained by unlawful means, that the Article has not been previously published in any manner or medium, specifically including, but not limited to, print or electronic means, and that publication of the Article by Company will not violate any copyright or other intellectual property right of any third party.  The Volunteer Writer represents that Volunteer Writer is free to enter into this Agreement and that his/her participation in the Program does not violate the terms of any agreement between the Volunteer Writer and any third party.  


    Assignment and Ownership of Intellectual Property.  Volunteer Writer hereby understands and agrees that all Articles submitted to and published by the Company under this Agreement shall be considered the intellectual property of the Company.  Volunteer Writer hereby assigns to the Company all rights to publish the Article and all previously submitted articles of Volunteer Writer in any tangible medium of expression now known or later developed from which it can be perceived, reproduced, or otherwise communicated, either directly or with the aid of a machine or device, including without limitation the rights to archive, republish, edit, repackage or revise any Article in any manner as Company sees fit. The rights conferred upon Company by this Agreement shall be exclusive to Company indefinitely.


    Photo Usage.  Volunteer Writer also agrees that any photos Volunteer Writer submits to the Company are licensed for usage on StarsandCelebs.com website only.   If the Volunteer Writer wishes to submit photos found outside of StarsandCelebs.com, they must follow Company procedure as set forth on the System.  


    Successors and Assigns.  All of the provisions of this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, if any, successors, and assigns.


    Choice of Law.  The laws of New York shall govern the validity of this Agreement, the construction of its terms and the interpretation of the rights and duties of the parties hereto.


    Headings.  Section headings are not to be considered a part of this Agreement and are not intended to be a full and accurate description of the contents hereof.


    Waiver.  Waiver by one party hereto of breach of any provision of this Agreement by the other shall not operate or be construed as a continuing waiver.


    Assignment.  The Volunteer Writer shall not assign any of their rights under this Agreement, or delegate the performance of any of their duties hereunder, without the prior written consent of the Company.


    Notices.  Any and all notices, demands or other communications required or desired to be given hereunder by any party shall be via email to the address provided below:


    Modification or Amendment.  This Agreement may only be amended by the Company.  The Company may amend this Agreement at any time from time-to-time without specific notice to Volunteer Writer.  Any changes to this Agreement shall be effective immediately following the posting of such changes on the System.  You agree to review this Agreement from time-to-time and agree that any subsequent access or use by You of the System following changes to this Agreement shall constitute Your acceptance of all such changes.


    Entire Understanding.  This document and any exhibit attached constitute the entire understanding and agreement of the parties, and any and all prior agreements, understandings and representations are hereby terminated and cancelled in their entirety and are of no further force and effect.


    Unenforceability of Provisions.  If any provision of this Agreement, or any portion thereof, is held to be invalid and unenforceable, then the remainder of this Agreement shall nevertheless remain in full force and effect.
