Hypha is here to serve as a similar organism to unite the myriad of organisations, movements, nation's and people to co-create a global civilization towards a shared purpose.

Circles: Basic Circle Structure
Size: Circles should be around ~7 people before a split could take place. The intent here is that circles shouldn’t be to big for decision making and calls to be too arduous and tedious. Research shows that 5/7 people are ideal group sizes for effective action.
Purpose: Why does this circle exist?
Domain: What is under explicit control of that circle?
Accountability: What is this circle expected to accomplish?

Purpose: Capture, synergise and align the information and wisdom of all the circles. This circle does not make strategic decisions, merely aligns the decisions made in represented circles for cohesion. Members will include the Representatives and Leads of the other circles within Hypha.
Domain: Organisation roadmap and timelines.
Accountability: Weekly/Biweekly alignment calls to synergise and align the circles towards our shared goals.

Org Flows
Flows are critical to the livelihood and generative capacity of our organization. Without flows, organizations stagnate and/or create isolated pools of knowledge and power. Flows enable circles to perform their actions, remove barriers, and shift & direct energy to the right place at the right time. A good metaphor might be channeling flows of water through the organization so others can use these newly created pathways.

Role Based Core Team
60% Full time Min.�Circle members and role fillers. Hypha is their majority creative project. Members need to fill at least 60% of full time roles to be part of the “core team” and the various benefits that come with it.
Supporters
Per Contract Basis�Community proposals, advisors, auxiliary staff, part-time, interns, etc. This is a value “catch all” where anyone can propose anything to the DAO.

Roles �Created by Hypha Members - a signal for what we need. By voting this in we're accepting that this role can be filled and a salary paid.

Assignments�People can choose what percentage of a role to fill there are mandatory minimums for various roles.

Ambassadors are the weavers, evangelists and face of this movement. All Ambassadors split commissions relative to % of time contributed. This is monitored by ambassadors themselves which choose who to bring in and remove.��Fostering:

The governance distribution of Hypha used to determine your vote weight on proposals.�Voice is non-transferable with a 1 year half life.

The equity token of Hypha. Profits will be used to pay dividends to Hypha holders and to buy Hypha Equity to distribute to members.

Pay Philosophy
Part of our mission as Hypha and our primary project SEEDS is to see Seeds become a standard medium of exchange and propel the adoption of it. By taking our pay in Seeds we’re tying our organisational success to our personal financial success. The more successful we are the more valuable and liquid the Seeds becomes.��Hypha will take investments in more liquid currencies (USD, BTC, EOS) to facilitate exchanges for Hypha Members until such a time that Seeds are sufficiently liquid.

Revenue & Profits
Fixed salary - as proposed
Revenue - (Expenses + Salaries + Reserves) = Profits ��Profits are split to pay dividends to shareholders and to buy shares to proportionally divide between existing members. ��This model pays dividends and has a buy back scheme which may drive up the price of each share while homogenizing & equalizing ownership between members.
Collective Budgeting
The membership base as a whole votes to fund various proposals from circles and members to finance development. ��For example: The Community Connection and Networking circle would propose a budget of 40k to pay for a new marketing agency. This proposal would then go up to all the members of Hypha for a vote to be compared against other proposals to the budget.

Initial Hypha Equity and Hypha Voice will be distributed to the members who have been deferring pay and investing finances from December 2018 up until the DAO launch. These numbers will be confirmed over the coming weeks.
Proposed: For financial investors do not get equal voice to their investments - else we remove a primary benefit of decoupling voice from equity. We give voice primarily to those who are running the organisation as they are best suited to make decisions while still giving a voice to investors (just reduced).

Genesis Voting
We start the DAO as if it existed the whole time. We’ll go back to the earliest audit of token holdings (July 2019) and start from there. Then each member can propose their historical contributions and will be voted on by current voice token holders. �Proposal: 80% Unity, 20% Quorum for Funding, Role and Assignment proposals
67% for referendum proposals + institute more nuanced ways for governance that don’t require a vote.
