Current SDCBC Board Structure, 2019-?

Maximum No Cap Club, 1 B/WA, No Cap At-Large Board Members

Actual 8 Club, 1 B/WA, 22 At-Large Board Members

Ex-Officio Club Board Members (8 currently but w/ No Limit)

  • Board Members selected by Clubs or related Orgs who join Coalition and pay respective dues.
  • Voted by members of respective clubs who are also Coalition Members.

Ex-Officio Bike/Walk Alliance Board Member (1 max)

At-Large Board Members (22 Currently but w/ No Limit)

  • 6 Member limit removed, size may expand or contract.
  • Governance Committee (GC) selects slate of Board Candidates to be placed on ballot including incumbent Board members who wish to run for re-election. In some years their information was run through a matrix (click for link) to ensure diversity was being adequately met.
  • The Membership votes each October on the slate of Board candidates.
  • On the day of the election, any current Board Member may nominate an individual who wasn’t known, selected or considered by the GC to run for a Board Position.
  • Membership votes on all of these individuals.
  • As of 7/22 By-Law Elections, there are 22 At-Large Board Members.

The arguments in support for this reformation of the board structure was to promote greater diversity among the board. Both Ex-Officio and At-Large were allowed to expand or contract as needed but practically the number of At-Large positions increased to a far greater number. Due to the limited number of Clubs in San Diego County, the At-Large Board Members, which were selected from pools of individuals belonging to the County’s various groups expanded to a far larger number.

Proposed 2022 Board Structure

  • Club or Organization, eventually no longer to be elected by club members and sent to Coalition Board as Club Reps.

At-Large Board Members (22 > 22 > 16 > 13*)

  • Governance Committee (GC) selects slate of Board Candidates to be placed on ballot including incumbent Board members who wish to run for re-election. Status of diversity matrix usage unknown.
  • The Membership votes each October on the slate of Board candidates.
  • Day-of-election selection by current Board Member process is to be removed.
  • *13 assumes no resignations, incumbents choosing not to run during transition period, etc. Max is 15 At-Large, 1 Club, 1 B/WA

Proponents in support of this proposed Board Structure include a more democratically selected, more inclusive, intersectional, progressive, and smaller size to increase efficiency.
