Co-op Program Requirements:

To qualify for the Co-Op Program, CellSound clients must meet the following requirements:

  • Clients must enroll in monthly drop shipments of at least eight (8) consumable packages (which can include face/body sets) and authorize automatic payment deduction through CellSound Aesthetics.
  • Clients must adhere to CellSound MAP Policies (Minimum Advertised Price Policies) which can be found on our Backstage Hub.
  • Clients must maintain a good payment record and remain in good standing with their drop shipments.
  • Clients must also fulfill their obligations outlined in the CellSound Master Sales Agreement and actively participate in CellSound Co-Op marketing and advertising during the Earning Period, as defined below:
  • Customers who are no longer eligible for the Co-Op Program will lose any remaining balance they have under the program. If there is any suspicion of fraud, misrepresentation, misuse, abuse, or violation of the programs terms and conditions, it may result in the loss of rebates, the delay or suspension of rebate processing, and/or termination of the customer’s participation in the program. Please note that the Co-Op Program does not cover procedures or treatments that are reimbursed by state or federal healthcare programs.

ELIGIBLE ADVERTISING

  • Various forms of campaigns for CellSound’s eligible advertising criteria, including television commercials, radio advertisements, newspaper and magazine advertisements, billboards, web banners, direct mail campaigns, pay-per-click ads, paid social, and eblasts.

Please note that collective buying or discounting programs, such as Groupon or Livingsocial, are not eligible and are strictly prohibited.

  • To qualify for promotions, they must be based in the United States. The promotions must also run during the Earning Period following the period in which the Customer received the Co-op Reward.
  • By submitting advertisements for the Co-op Program, Client affirms, represents, and warrants that Client owns or has the necessary licenses, rights, consents, and permissions to use the content and materials submitted.
  • For long-term advertisements, CellSound will prorate the eligibility if the advertisement runs outside of the applicable Earning Period. In the case of magazines, we will use the cover date to determine eligibility.

As part of the Company’s MAP policy, it is strictly prohibited to advertise on Groupon’s global e-commerce marketplace website. This includes any change, revision or alteration of the Minimum Advertised Price in any manner for purposes of marketing and/or selling on Groupon. Co-op Rebate Guidelines

EARNING PERIOD

Earning Period Definition: The year is divided into two separate periods

- January 1st to June 30th and July 1st to December 31st. These periods are known as “Earning Periods.”

TERMINATION

Either party may terminate this Agreement by providing written notice of at least 30 days prior to the end of the 6-month term. Upon termination, any rebates earned but not yet paid will be forfeited.

PRE-AUTHORIZATION OF ELIGIBLE ADVERTISING

Pre-authorization of Eligible Advertising is recommended. This ensures that the

advertising is fully eligible for reimbursement. A draft of the advertisement and cost estimate associated with each Eligible Advertising for written approval prior to being published and such advertisement must be approved in writing by CellSound to be pre-approved as an Eligible Advertisement. A draft of each advertisement must be submitted for review and approval through

CellSound’s Backstage Hub. For television and radio advertisements, a review scripts prior to recording are needed.

At least five (5-7) business days should be allowed for review and response.

Co-op Rebate Guidelines

To earn a reimbursement rebate, the client can submit proof of eligible advertising costs incurred during each Earning Period.

  • Client may submit proof of eligible advertising (see Eligible Advertising definition in next page)costs incurred during each Earning Period,
  • The maximum rebate during each Earning Period is 50 % of eligible advertising costs up

to $7,500, meaning a maximum rebate of $3,750 $ per period,

  • Submissions must be received within thirty (30) days of the end of an Earning Period to

be eligible for rebates and must be submitted through CellSound’s Backstage Hub.

  • Eligibility for rebates will be determined solely by CellSound Aesthetics, and their

approval or disapproval of submissions is final.

  • The client’s rebate reimbursement balance will be reset to zero (0) at the start of each Earning Period.
  • Unused rebates will not carry over into the next Earning Period.
