Review of By-Laws and Vote

1. Structural Reorganization & Expanded Governance

  • Introduces Cabinet Directors (Marketing, Digital Communications, Membership Development, Community Outreach, Immediate Past President)�
  • Officers now grouped into Executive Board + Cabinet Directors (2020 only had President, VP, Secretary, Treasurer)�
  • Officer meetings required monthly with defined quorum and documentation process�

2. Updated Membership Categories & Definitions

  • Removes Associate membership category�
  • Defines only Full and Student members with updated eligibility and responsibilities�

3. Modernized Meeting Requirements

  • Quarterly Regular Meetings + one Annual Meeting with required agenda components�
  • Adds structure for special meetings, notice requirements, and updated quorum definition (includes limits on officer participation)

4. Comprehensive Election Process Overhaul

  • More formalized nomination, ballot, teller, and installation procedures�
  • All officers now serve 2-year terms and must support at least one Symposium�
  • Elections scheduled 4 months after the annual Symposium (2020 elections were tied to April cycles with staggered roles)�

5. Expanded Articles & New Governance Provisions

  • Adds full articles for:�
    • Purpose, Meetings, Duties of Cabinet Directors, Finances, Code of Conduct & Ethics, and Planetary Authority with updated language�
  • Provides clear budget approval, audit, dissolution clause, and conflict-of-interest procedures�

6. Strengthened Ethical Expectations & Professional Standards

  • Introduces Code of Conduct & Ethics, including member behavior, representation expectations, and disciplinary processes
