ARIZONA I

PUBLICATION REQUIREMENT

If you are starting a corporation or LLC in Arizona, there are a series of publication requirements you must satisfy. This applies not only to domestic (in-state) companies, but also to foreign (out-of-state) companies expanding their business into Arizona. Furthermore, already established organizations must also publish in the event of amendment, dissolution, or withdrawal.

Failure to meet these requirements will result in dissolution.

CALIFORNIA DBA PUBLISHING I

DBA PUBLISHING REQUIREMENTS

Within 30 days of registering a DBA in California, a notice must be published in a newspaper of general circulation. The notice should run once a week for four consecutive weeks, and the publication should be in the county of the primary place of business (or, if no paper exists in this county, then in an adjacent county). Out-of-state DBAs use Sacramento County. Within 30 days of the completion of the run, an affidavit to confirm the publishing must be filed with the County Clerk.

PUBLICATION REQUIREMENT

Georgia requires that corporations publish a notice of intent to incorporate in a legal newspaper in their county of business. Published announcements are also required for and in the event of amendments, dissolutions, or withdrawals. However, these requirements only apply to domestic (in-state) companies, not to foreign (out-of-state) companies doing business in Georgia.

The notice should be published the next business day after the filing, and should run once a week for two consecutive weeks. It should appear in the main legal newspaper of the county of business.

NEBRASKA I

PUBLICATION REQUIREMENT

Corporations and LLCs in Nebraska are required to publish notices of incorporation or organization, respectively. In addition, notices must be published in the event of amendment, merger, conversion, or dissolution. Additionally, affidavits of publication must be filed with the Secretary of State. These requirements only apply to domestic (in-state) companies, not to foreign (out-of-state) companies doing business in Nebraska.

PUBLICATION REQUIREMENT

Nevada’s publication regulations are slightly different than other states, and require that only out-of-state companies publish a statement. In order to conduct business in the state, foreign corporations must publish a statement including the name of the corporation, the officer submitting the statement, and the addresses of both the principal office and the Nevada office. Assets and liabilities are not required.

If a company does not comply with this requirement, it will be subjected to a fine of $100 for every month, and will also lose authorization to practice business in Nevada.

The statement must be published before the end of March, or before the end of the third month following the close of the fiscal year. The publication must be made in two issues of any newspaper in Nevada with a weekly circulation of at least 1,000.

PUBLICATION REQUIREMENT

The state of New York has more intricate publishing requirements than other states; however, it is also the state in which we have the most experience. Under threat of suspension, all limited liability companies (LLCs and PLLCs), limited partnerships (LPs), and limited liability partnerships (LLPs) must publish a legal notice with the requested information within 120 days of formation.
