THE PARTIES AGREE TO THE FOLLOWING:1. Vendor is considered an invited guest at ArtSpace and is responsible for keeping the premises and their assigned vending site neat, orderly and free from trash.2. Vendor will defend, indemnify, and hold harmless ArtSpace, its officers, employees, and agents from and against any losses and expenses, claims, suits, or other liability including product liability resulting from injury to any person or damage to property arising out of or in any way connected with the Vendor's exercise of this Agreement, provided such injuries to persons or damage to property are due to the acts or omissions of Vendor, its officers, employees or agents, or the products made or sold by them.3. Vendor agrees that it will be bound by and will adhere to any and all rules and regulations promulgated by ArtSpace concerning conduct at the 2018 Holiday Bazaar. Smoking is not allowed on the premises and the use of drugs, alcohol, and other activities that ArtSpace deems unacceptable are prohibited. 4. Vendor in the capacity of a seller is not acting as an employee or agent of ArtSpace and will make no representations which may indicate an endorsement or guarantee by ArtSpace of the merchandise sold.5. Vendor agrees to obtain, at Vendor’s expense, all necessary licenses and permits necessary for Vendor’s operation.6. The exact space, size and location of area will be determined by the ArtSpace, and the ArtSpace, in its sole discretion, will review for approval the installation and design of any structure erected or placed by Vendor on said space. Vendor will return the area to its original condition. If there is any damage it is the Vendor’s responsibility to fix the area to its original condition at Vendor’s expense. 7. Vendors will be permitted on ArtSpace grounds beginning 3 p.m. on Friday, December 7, 2018 for the purpose of preparing table/display for sales. Vendor agrees to maintain operations from 5 to 8 p.m. on December 7, 2018. 8. ArtSpace will provide a table and chairs for sales. Vendor agrees to bring all necessary materials for the purpose of sales (i.e. customer bags and wrapping, additional display and promotional materials, packing materials, etc.) 9. Vendor agrees to provide ArtSpace, an item for the raffle made by the Vendor for the use of the space at the beginning of the event. 10. Vendor will not use or be allowed to use on or about the designated space or elsewhere on the grounds any music, instruments, loudspeakers, sound devices, or similar equipment unless previously discussed and approved by the ArtSpace Director. This Agreement will automatically terminate at the end of the 2018 Holiday Bazaar. IN WITNESS WHEREOF, the parties hereto have caused this agreement to be executed as of the day and year mentioned above.
