What is a Board Member?“Board members are the fiduciaries who steer the organization towards a sustainable future by adopting sound, ethical, and legal governance and financial management policies, as well as by making sure the nonprofit has adequate resources to advance its mission.”About this PositionThe Board will support the work of Diana Initiative and provide mission-based leadership and strategic governance. While day-to-day operations are led by the staff, the Board-Staff relationship is a partnership, and the appropriate involvement of the Board is both critical and expected.
Service on Diana Initiative’s Board of Directors is without remuneration, except for financial duress in which case some stipend for travel to the annual event [conference] can be negotiated if enough funds are raised. Attendance to the annual event is encouraged but not required.
Specific Board Member responsibilities include:
Leadership, governance and oversightHelp to set the strategic direction of the organization.
Serving as a trusted advisor to the staff as they implement the annual event
Reviewing outcomes and metrics created for evaluating impact, and measuring its performance and effectiveness using those metrics.
Reviewing supporting materials prior to voting and meetings.
Approving the annual budget, audit reports, and material business decisions; being informed of, and meeting all, legal and fiduciary responsibilities.
Assisting the board chair in identifying and recruiting other Board Members.
Serving on committees or task forces and taking on special assignments as needed
Representing Diana Initiative to stakeholders and the press; acting as an ambassador.
Ensuring the commitment to a diverse board and staff that reflects the communities served
Help iterate on, and follow, the Policies and Code of Conduct for the organization
Be able to quickly react to time sensitive situations and help craft, and deliver, the organizational response. This could be a local or industry event (#MeToo), a movement (BLM), or a social media or public relations situation.
FundraisingDiana Initiative Board Members will consider Diana Initiative a philanthropic priority. We encourage but do not require Board Members to make annual gifts. We expect you to also help solicit contributions from foundations, organizations, and individuals.
Board terms/participationDiana Initiative’s Board Members will serve a one-year term,.
Board members are expected to participate in Discord, where votes and discussions are held as needed.
There will be one annual board meeting as required by bylaws and all board members are required to attend and participate. The annual board meeting is held virtually.
There are additional quarterly board meetings through the year that are held virtually and it is preferable if you can attend or send a proxy vote and comments in advance.
Our annual event [conference] is held each summer, it is desirable for Board Members to not just attend, but to volunteer as day of or staff for the event.
QualificationsThis is an extraordinary opportunity for an individual who is passionate about Diana Initiative’s mission. Selected Board Members will have achieved leadership stature in business, government, philanthropy, or the nonprofit sector. Their accomplishments will allow them to attract other well-qualified, high-performing Board Members.
Ideal candidates will have the following qualifications:
Extensive professional experience with business, government, philanthropy, or the nonprofit sector
A commitment to and understanding of Diana Initiative’s beneficiaries, preferably based on experience
Savvy diplomatic skills and a natural affinity for cultivating relationships and persuading, convening, facilitating, and building consensus among diverse individuals
Ability to remain calm, respectful, and professional under pressure and during disagreements.
Personal qualities of integrity, credibility, and a passion for improving the lives of Diana Initiative’s beneficiaries
Excellent skill in written communications within an a-synchronous and low-context environment.
