You agree that, for good and valuable consideration, the receipt and sufficiency of which you and All Punked Up, LLC ("All Punked Up", "Unplugged with Tyler Winters and John Pearman", or the “Producer”) hereby acknowledge, you hereby grant to Producer the right to use and to authorize others to use your name, record and/or use your voice, biographical information, and/or likeness in connection with the production, exhibition, advertising, distribution and/or other exploitation of any All Punked Up podcast(s) (collectively “Podcast”), including but not limited to Unplugged with Tyler Winters and John Pearman, in perpetuity, throughout the universe, and in any and all media now known or hereafter devised.  Further, any and all materials (including but not limited to photo(s), video clip(s) and/or any other materials, etc.) (“Materials”) submitted to All Punked Up become the sole and exclusive property of Producer and cannot be returned at any time. By submitting Materials, you agree Producer may, but is not obligated to, use Materials and/or include you as a guest on a Podcast, in connection with any Podcast, in any way, in any medium, worldwide, in perpetuity. You warrant all applicable Materials are 100% original and do not violate the right of privacy or publicity of, or constitute a defamation against, any person or entity; that the Materials will not infringe upon or violate the copyright or common law rights or any other rights of any person or entity; and that there are and will be no encumbrances, liens, conditions or restrictions whatsoever upon or affecting such Materials. You agree to indemnify and hold All Punked Up, its predecessors, successors and assigns, parents, subsidiaries and affiliated companies, media company, distributor, and employees of all of the foregoing, harmless from and against any claims, penalties expenses or damages arising out of any breach by you of the foregoing representations and warranties. You agree that with respect to any claim you may have in connection with the Podcast, your remedies are limited to an action at law for damages.
