Capital Gravity Arizona 2022 is a series of workshops and educational events centered around a small Angel Fund that builds up to a one-day conference where up to $200,000 or more will be invested in a single company. Investors who join the fund will be part of a group learning how to source deals, screen deals, conduct due diligence, and ultimately invest.

The program is centered around raising a fund of between $200,000 and $1,000,000* each investor will receive and sign a Private Placement Memorandum (PPM), which explains in detail the focus and operations of the fund.

An individual with a net worth, either individually or upon a joint basis with spouse, of at least $1,000,000, or has had an individual income in excess of $200,000 for each of the two most recent years, or a joint income with spouse, or spousal equivalent, in excess of $300,000 in each of those years, and has a reasonable expectation of reaching the same income level in the current year.

An individual in good standing, with one of the following certifications or designations administered by the Financial Industry Regulatory Authority, Inc. (“FINRA”): the Licensed General Securities Representative (Series 7), Licensed Investment Adviser Representative (Series 65), or Licensed Private Securities Offerings Representative (Series 82).

An individual who is a “knowledgeable employee” within the meaning prescribed under Rule 3c-5(a)(4) of the Investment Company Act of 1940, as amended (the “Investment Company Act”) of a private fund exempt from registration pursuant to Rule 3(c)(1) or Rule 3(c)(7) of the Investment Company Act.

1) Each unit is $5,250. $5,000 is allocated to investments and $250 (or 5%) is allocated to the cover standard fees and services associated with administering of the cohort's investment fund.

2) Each member of the fund is allocated 1 vote per unit for each of the first 2 units. Additional units are available to purchase, but votes are capped at 2 per member.

3) Additionally, there is a one-time, $1500 program fee to cover the costs of program administration such as education, staffing, event expenses, and other program costs. This fee is billed separately by Next Foundation, a 501c3 non-profit.

Capital Gravity Arizona is an experiential learning program, similar to a startup accelerator, but for investors. The time commitment for ACTIVE INVESTORS is critical to the learning process, the program operation, and investment selection.

The program schedule includes:

- Friday April 1st, 2022 5pm - 10pm (IN PERSON)
- Saturday April 2nd, 2022 8am - 6pm (IN PERSON)

An ACTIVE investor attends all of the program activities and has voting rights. ACTIVE investors are able to vote to allocate the fund resources. A PASSIVE investor is not required to attend any activities and will not have any voting rights. PASSIVE investors are not able to vote to allocate the fund resources.
