(a) In exchange for any or all Services to be rendered to VividBlackPaint, the Volunteer has agreed they will waive their right to a full and complete compensation. Volunteer understands and agrees that if there is stipend afforded to them that it will be received up to 14 days After the activity they participate in. Stipends may range in amount but are Not guaranteed and will be limited due to the nature of the mission of individual events and activities. Volunteer also understands and agrees that they can choose to waive their stipend if one is offered to them.

(b) Volunteer is not entitled to receive any other compensation or any benefits from VividBlackPaint. Except as otherwise required by law, VividBlackPaint shall not withhold any sums or payments made to Volunteer for social security or other federal, state, or local tax liabilities or contributions, and all withholdings, liabilities, and contributions shall be solely Volunteer’s responsibility. Volunteer further understands and agrees that the Services are not covered under the unemployment compensation laws and are not intended to be covered by workers’ compensation laws.

(a) Volunteer understands that, in connection with its engagement with VividBlackPaint, it may receive, produce, or otherwise be exposed to VividBlackPaint’s business, proprietary and/or technical information, inventions (whether patentable or not), know-how, show-how, and other information considered to be confidential by VividBlackPaint, this does not include information that is, within reason, meant to help promote the event for which Volunteer is providing its participation.  

(a) Volunteer agrees to take all necessary precautions to prevent injury to any persons or damage to property during the term of this Agreement, and shall indemnify, defend and hold harmless VividBlackPaint, its officers, directors, fellow Volunteers, representatives and/or agents from any claim, liability, loss, cost, damage, judgment, settlement or expense (including attorney’s fees) resulting from or arising in any way out of injury (including death) to any person or damage to property arising in any way out of any act, error, omission or negligence on the part of Volunteer or any Volunteer Employee in the performance or failure to fulfill any Services or obligations under this Agreement.

(b) I understand that during participation in all Vivid Black Paint activities, rehearsals, and events, that participant photos and videos may be taken and that some of that material will be used by Vivid Black Paint in promotional and marketing materials and on the Vivid Black Paint website and associated social media pages and I consent to that. Once these photos and videos are posted online Vivid Black Paint is not responsible for harm or damages assumed by participants and their families thereafter.

(c) I authorize Vivid Black Paint, Vivid Black Paint's agents, successors, assigns, and designees to record my name, likeness, image, voice, sound effects, interview and performance on video, film, or otherwise (the "Recording"), edit such Recording as Vivid Black Paint may desire, and incorporate such Recording into the Video, any versions of the Video and all related materials thereof, including but not limited to promotion and advertising materials. It is understood and agreed that Vivid Black Paint shall retain final editorial, artistic, and technical control of the Video and the content of the Video. Vivid Black Paint may use, and authorize others to use, the Video, any portions thereof and the Recording in all markets, manner, formats and media, whether now known or hereafter developed, throughout the world, in perpetuity. Vivid Black Paint, and Vivid Black Paint's successors and assigns, shall own all right, title and interest, including the copyright, in and to the Video, including the Recording and related materials, to be used and disposed of, without limitation, as Vivid Black Paint shall, in Vivid Black Paint's sole discretion determine.

(a) Volunteer warrants that they will make the decision for themselves to seek out and obtain and keep in full force and effect at all times hereunder workers’ compensation, general liability and errors and omissions or professional liability insurance covering all of its Services on their own regards.

(b) By participating in any VividBlackPaint events and activities, Volunteer is waiving any and all right to claim liability against VividBlackPaint; as well as against any venues or any property  VividBlackPaint events or activities occupy during the time of said event or activity; as well as any owners and operators of said venues or properties being used for VividBlackPaint events and activities. Volunteer assumes any and all physical risk, mental risk, property risk and financial risk associated with their participation in VividBlackPaint events and activities.

(a) This Agreement shall become perpetually effective on the date hereof.

(a) VividBlackPaint and Volunteer expressly agree and understand that Volunteer is an independent contractor, volunteer, or participant and nothing in this Agreement shall be construed in any way or manner to create between them a relationship of employer and employee, principal and agent, partners or any other relationship other than that of independent parties contracting with each other solely for the purpose of carrying out the provisions of the Agreement and the execution of VividBlackPaint events and activities.

(b) Accordingly, Volunteer acknowledges that Volunteer and Volunteer’s Employees are not eligible for any VividBlackPaint benefits, including, but not limited to, health insurance, liability insurance, retirement plans or stock option plans. Volunteer is not the agent of VividBlackPaint and is not authorized and shall not have the power or authority to bind VividBlackPaint or incur any liability or obligation, or act on behalf of VividBlackPaint.

(c) Volunteer is solely responsible for directing and controlling the performance of their Services if provided, including the time, place and manner in which the Services are performed. Volunteer shall use its best efforts, energy and skill in its own name and in such manner as is seen fit.

(a) This Agreement does not create an obligation on VividBlackPaint to continue to retain Volunteer beyond this Agreement’s termination. This Agreement may not be changed unless mutually agreed upon in writing by both parties.

(b) Volunteer hereby agrees that any breach of Section 3 by Volunteer will cause irreparable harm to VividBlackPaint and that in the event of such breach or threatened breach, VividBlackPaint shall have, in addition to any and all remedies of law and those remedies stated in this Agreement, the right to an injunction, specific performance or other equitable relief to prevent the violation of Volunteer’s obligations hereunder.

(c) Volunteer hereby agrees that each provision herein shall be treated as a separate and independent clause, and the unenforceability of any one clause shall in no way impair the enforceability of any of the other clauses herein.

(d) This Waiver contains the entire agreement between the parties hereto with respect to the transactions contemplated herein. The language of all parts of this Agreement will in all cases be construed as a whole in accordance with its fair meaning and not for or against either party.

(e) All notices provided for in this Agreement shall be given in writing and shall be effective when either served by hand delivery, electronic facsimile transmission, express overnight courier service, or by registered or certified mail, return receipt requested, addressed to the parties at their respective addresses as set forth at the beginning of this Agreement, or to such other address or addresses as either party may later specify by written notice to the other.
