(“Company”), and you, the customer (“Customer”), agree that the terms and conditions below and in the Additional Terms and Conditions of the agreement (“Agreement”) will apply to over–the–phone interpretation services ("Services") provided by WorldWide Interpreters, Inc.
BASIC TERMS AND CONDITIONS
1.
Term of Agreement –This Agreement will become effective upon signing by both parties and will continue until the period as set forth in Section 7 of "Additional Terms and Conditions" below.
2.
Charges, Invoices, and Payments – Customer agrees to pay all properly invoiced charges for WorldWide Interpreters, Inc. within thirty - (30) days of the invoice date. Invoices will be sent to the Customer billing address shown above, or to such other address as Customer may specify by giving written notice as provided in Section 4 of attached Additional Terms and Conditions of this agreement. Charges for WorldWide Interpreters, Inc. as of the effective date of this Agreement as indicated by "Today's Date" below.
➜ Telephone Interpretation: Customers will be billed monthly at the rate of $1.29 per minute for all languages in effect at the time the service is rendered. Minutes are rounded up to the nearest minute and an additional minute applied for quality control maintenance.
➜ American Sign Language Interpreter [Video]: There are no minimum and monthly fees. The only fee is $2.95/minute for the interpreting time.
➜ Virtual Interpreter (other than American Sign Language) [Video]: There are no minimum and monthly fees. The only fee is $1.95/minute for the interpreting time. We currently support these languages Amharic, Arabic, Bosnian, Burmese, Chinese/Cantonese, Chinese/Mandarin, Cushite, Farsi, French, German, Gujarati, Italian, Japanese, Karen, Karen, Kirundi, Korean, Laotian, Nepali, Persian, Polish, Portuguese, Russian, Somali, Spanish, Swahili, Tagalog, Thai, and Vietnamese
➜ On-site Live Interpreter (Including Live ASL): Spanish - $75/hour with a 2-hour minimum. Other languages - $90/hour with a 2-hour minimum. It should be set up 48 hours in advance. We also need a specific time and date of the session. Ask for any special certifications needed (medical, court, etc.)
a. A medical appointment may be cancelled based on one of the following circumstances:
i. Member or Provider cancels the appointment. If Vendor is contacted by Member or Provider, Vendor shall endeavor
to notify Customer within two (2) hours, and/or by calling Customer, from the time the Vendor is made aware of the canceled appointment.
ii. A member does not show up for the medical appointment. Vendor will endeavor to notify Customer within two (2)
hours from the time the Vendor is made aware of the cancellation.
iii. Customer notifies Vendor of a cancellation via emailing or calling Vendor. Customer will endeavor to notify Vendor of
cancellations a minimum of 24 hours in advance.
b. Job assignments cancelled with more than 24 hours’ notice are not subject to a cancellation fee. Vendor may bill for any
cancellations made with less than 24 hours’ notice.
c. In the event Vendor fails to confirm a medical appointment and the appointment is cancelled, Vendor will not charge a
cancellation fee.
➜ Document Translation: Documents are translated at per-word rates. Documents should be sent through the translation portal at
https://worldwideinterpreters.com/document-translation-quote-request/ where the Customer is presented with a quote and work proceeds on acceptance. Translation rates for various languages are as follows:
Spanish -- $0.13
Polish -- $0.16
Portuguese, French, Italian, Russian, Chinese, Vietnamese, and Arabic -- $0.18
German -- $0.19
Japanese and Korean -- $0.20
All Other -- $0.30
➜Phone Equipment Pricing: Any of our interpreters can be accessed from almost any phone but works most effectively with speakerphones. We provide phone equipment where a dedicated system can improve the use of, connection time, and has improved call quality
Internet Phone (IP) Corded Handset Purchase or Lease:
$12.50 per unit monthly maintenance fee (Single Corded)
$150.00 per unit purchase (Single Corded)
Analog Corded Handset Purchase or Lease Payment Option:
$9.50 per unit monthly maintenance fee (Dual Corded)
$11.50 per unit monthly with a digital adapter (Dual Corded)
$150.00 per unit purchase (Dual Corded)
Single Cordless Purchase or Lease Payment Option:
$10.50 per unit monthly maintenance fee (Single Cordless)
$17.00 per unit monthly with a digital adapter (Single Cordless)
$50.00 per unit purchase (Single Cordless)
Dual Cordless Purchase or Lease Payment Option:
$10.00 per unit monthly maintenance fee (Dual Cordless)
$15.00 per unit monthly with a digital adapter (Dual Cordless)
$50.00 per unit purchase (Dual Cordless)
Customer agrees that any restrictive endorsements, releases or other statements on or accompanying checks or other payments accepted by WorldWide Interpreters, Inc. shall have no legal effect.
3.
Taxes – In addition to the charges described in Section 2 above, WorldWide Interpreters, Inc. shall bill Customer, and Customer shall pay, all federal, state and local taxes (except federal and state net income taxes or taxes imposed in lieu thereof), which may be imposed upon or on account of the Company provided under this Agreement.
4.
Use of Service –
A.
Customer will use Services for its own internal purposes and not for resale.
B.
The following uses of Services are prohibited: the transmission of any message or other material which constitutes an infringement of any copyright or trademark; unauthorized disclosure of a trade secret; the transfer of any information or technology abroad in violation of any applicable export law or regulation; a violation of Section 223 of the Communications Act of 1934, as amended, 47 U.S.C. Section 223, regarding the use of telephones in interstate or foreign commerce to transmit obscene, threatening, harassing or other messages specified therein; a libelous or slanderous statement; or violation of any applicable statute or government regulation, state or federal. Customer agrees to defend and indemnify WorldWide Interpreters, Inc. and to hold it harmless from any claim or action whatsoever arising from the use of Services in any manner prohibited by this section to the extent authorized by Texas law. WorldWide Interpreters, Inc. and its agents shall comply with all laws, rules, and regulations relating to the confidentiality of Patient Information, including the applicable provisions of Texas law and the privacy regulations promulgated pursuant to Health Insurance Portability and Accountability Act of 1996 ("HIPAA").
5.
Privacy of Communication – In providing Services, WorldWide Interpreters, Inc. will make reasonable efforts to ensure the privacy and confidentiality of Customer communications. Under applicable, WorldWide Interpreters, Inc. may be obligated to reveal communications that evidence or constitute criminal activity.
6.
Unauthorized Use of Service – Customer agrees to safeguard its Services against use by unauthorized persons. The Customer shall be solely and fully responsible for charges resulting from the use of Services, whether or not such use is authorized.
7.
Loss or Damage of WorldWide Interpreters, Inc. Equipment – Any of WorldWide Interpreters, Inc.s’ equipment lost or damaged on the Customer’s Premises due to fire, theft, explosion, lightning, pest damage, power surges or failures, strikes or labor disputes, water, the elements, product or transportation facilities, fuel or energy shortages, acts or omissions of telecommunications carriers (including without limitation local exchange companies) are the responsibility and liability of the Customer.
