Agreement Terms *
PRINCIPAL CONFIDENTIALITY AND REGISTRATION
AGREEMENT
This Confidentiality and
Principal Registration Agreement (“Agreement”) is made and entered into by and
between Vision Real Estate Advisors, LLC (“Broker”) and (“Principal”) regarding the property known
as 8550-8698 NW 44TH St, Sunrise, FL 33351 | Forum Plaza (“Property”). The obligation of confidentiality undertaken pursuant to this
Agreement shall survive the term of the Broker’s agreement with the Owner.
Principal has requested information from
Broker for the purpose of evaluating a possible acquisition of the Property.
The Owner of the Property has instructed Broker to deliver information
concerning the Property, much of which is highly confidential, only to the
Principal who executes this Agreement.
1. Principal agrees not to disclose,
permit the disclosure of, release, disseminate, or transfer any information
obtained pursuant to this Agreement (“Information”) to any other person or
entity.
2. If Principal is a corporation,
partnership, LLC, or other non-natural entity, the undersigned agrees to take
all reasonable precautions to restrict dissemination of the Information solely
to internal representatives who need to know and who are made aware of and
agree to be bound by this Agreement.
3. This Agreement applies to all
Information received by Principal, now or in the future, that is not publicly
available. Principal acknowledges all Information is confidential, proprietary,
and valuable, and its unauthorized disclosure, even if unintentional, may
result in significant and irreparable harm to Owner and Broker.
4. Principal agrees the Information
shall be used solely for evaluating a potential acquisition of the Property and
for no other purpose whatsoever.
5. Principal shall not contact, directly
or indirectly, any parties connected to the Property, such as the Owner,
tenants, employees, lenders, vendors, or suppliers, without prior written
consent from Broker or Owner.
6. Principal represents that it is
acting as a direct principal and not as a broker, agent, or representative for
any third party (excluding pension fund advisors). Principal affirms it is not
working with any other broker or agent in connection with the Property other
than the Broker listed below.
7. Principal acknowledges that neither
Broker nor Owner makes any express or implied representations or warranties
regarding the accuracy or completeness of the Information. Principal accepts
full responsibility for verifying all Information and waives all claims against
Owner and Broker arising from its use.
8. The individual executing this
Agreement represents they are authorized to bind the Principal named below.
9. This Agreement shall be governed by
and interpreted in accordance with the laws of the State of Florida.
10. Principal confirms that Vision Real Estate Advisors, LLC, specifically Elon
Gerberg, is the sole broker involved. If Principal or its affiliates acquire
the Property within twelve (12) months of this Agreement, it is agreed that
Vision Real Estate Advisors, LLC is the procuring cause. Principal acknowledges
it is acting in a principal-only capacity and shall not claim or accept any
brokerage commission.
