Confidentiality undertakings
General undertaking: By completing this registration form, I (“Participant”) undertake to keep confidential and undisclosed any information or data, whether oral, written, or otherwise recorded, regarding the Innovation Development Fund (“Fund”), the Brave1 Programme, the developers of innovative solutions that participate in the Brave1 Programme. This includes any information or data regarding solutions, teams, affairs, business plans and operations, technical and other documentation, slide decks, source codes, architecture, technologies, and computer programs and any other information provided to the Participant during the respective event ("Confidential Information").
Exclusions from Confidential Information: The information shall not be classified as Confidential Information if the Participant can conclusively demonstrate through written records or other explicit evidence that the information was already known to them on a non-confidential basis prior to disclosure, has become publicly available without their fault, was obtained lawfully from a third party with the right to disclose it, or was independently developed without access to the Confidential Information.
Confidentiality: The Participant shall maintain the confidentiality of all Confidential Information, regardless of whether it is explicitly marked as “Confidential”. The Participant shall prevent any unauthorized disclosure or use of this Confidential Information, understanding that any breach could result in considerable harm to the Fund and its interests.
Use limitations: The Confidential information provided by the Fund and developers of innovative solutions that participate in the Brave1 Programme is solely for the purpose of evaluating potential investments in defense technologies. The Participant shall use this Confidential Information only within this context and not exploit, copy, adapt, or modify it for any other purpose. Additionally, the Participant shall not disclose any part of the Confidential Information to third parties without explicit written consent from the Fund, except to Participant’s advisors who are bound by similar confidentiality obligations and are necessary to facilitate the intended purpose.
Security and compliance: The Participant commits to implementing robust security measures to safeguard the Confidential information, ensuring proper storage and limited access only to individuals who have a legitimate need to know and who are bound by confidentiality agreements. At the request of the Fund, the Participant shall return or destroy all materials containing Confidential information.
