MIAMI LAW STARTUP PRACTICUM PROSPECTIVE CLIENT APPLICATION
The Larry Hoffman|Greenberg Traurig* Startup Practicum connects University of Miami School of Law students with new ventures in need of legal assistance. Students in the Startup Practicum help clients with organizing, financing, talent, intellectual property, risk, regulation and other legal issues that arise for entrepreneurs as they launch and grow their businesses and organizations.
For example, students in the Startup Practicum assist clients with:
• Selecting and forming a business entity, such as LLC or C-corp.
• Evaluating, negotiating and documenting financing transactions (equity and debt).
• Drafting independent contractor, employee, joint venture and other agreements.
• Protecting intellectual property, including applying for patents and trademarks.
• Drafting Terms of Service, Privacy Policies and other online documentation.
Prospective clients interested in applying for services through the Startup Practicum may do so by completing the questionnaire below. However, submission of an application does not create any relationship with the Startup Practicum. No attorney-client or other relationship is created or exists unless and until a formal engagement letter is executed.
The Startup Practicum has limited availability and cannot provide services to every prospective client. For one, the Startup Practicum generally only operates at full capacity during the fall and spring academic semesters. There may also be conflicts of interest that prevent offering services to certain persons or entities. We also already have a substantial list of prospective clients. Thus, you may never receive a response to your submission. If providing assistance may be possible, you will be contacted. For these and other reasons, please do not disclose any information considered confidential or proprietary. Only after a relationship is formed through a formal written engagement letter with the Startup Practicum should confidential or proprietary information be disclosed.
* The Startup Practicum is supported by a gift made to the Law School by individuals at Greenberg Traurig in the name of Larry Hoffman. No other relationship between the Startup Practicum and the firm or individuals there exists. For more information about the Startup Practicum, visit
