LOGO AUTHORIZATION AGREEMENT

Motorola Solutions, Inc. (“Motorola Solutions”) is willing to grant you the right to use and display the appropriate Motorola Solutions application developer mark(s) for which you qualify (“Application Developer Identifier”) only on the condition that you accept all the terms in this Logo Authorization Agreement (“Agreement”),

IMPORTANT: READ THE FOLLOWING TERMS AND CONDITIONS BEFORE USING THE APPLICATION DEVELOPER IDENTIFIER.

BY: (a) CLICKING ON THE “ACCEPT” BUTTON BELOW OR OTHERWISE INDICATING ASSENT TO THIS AGREEMENT ELECTRONICALLY; OR (b) DOWNLOADING, COPYING OR OTHERWISE USING AN APPLICATION DEVELOPER IDENTIFIER, YOU AGREE TO BE BOUND BY THIS AGREEMENT IN ITS ENTIRETY. IF THE INDIVIDUAL WHO IS PROVIDING THIS AFFIRMATION AND AGREEMENT TO BE BOUND BY THIS AGREEMENT IS DOING SO ON BEHALF OF A CORPORATION OR OTHER LEGAL ENTITY, SUCH AS, FOR EXAMPLE, HIS OR HER EMPLOYER, SUCH INDIVIDUAL REPRESENTS AND WARRANTS THAT HE OR SHE IS AUTHORIZED TO PROVIDE SUCH AFFIRMATION AND COVENANT TO BE BOUND BY THE TERMS OF THIS AGREEMENT ON BEHALF OF SUCH ENTITY.

IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, MOTOROLA SOLUTIONS IS NOT WILLING TO LICENSE THE RIGHT TO USE THE APPLICATION IDENTIFIER TO YOU. YOU SHOULD CLICK ON THE “DO NOT ACCEPT” BUTTON IF YOU DO NOT AGREE TO THESE TERMS.

1. CONDITIONS OF USE

1.1 You acknowledge that the mark MOTOROLA, MOTOROLA SOLUTIONS, MOTOTRBO, the Stylized M Logo, and the Application Developer Identifier are trademarks or registered trademarks of Motorola Trademark Holdings, LLC or Motorola Solutions, Inc.

1.2 Motorola Solutions, as a licensee of Motorola Trademark Holdings, LLC, authorizes you to display, reproduce or otherwise use the Application Developer Identifier, as provided to you by Motorola Solutions, including the pictured trademarks, trade name, logos contained in the Application Developer Identifier, solely for and in connection with marketing collateral, which includes print advertisements, brochures, websites, labels, and data sheets. This limited authorization is not transferable or assignable by you.

1.3 As a condition of this limited authorization, you agree that your use of the Application Developer Identifier will be subject to the following conditions:

1.3.1 The Application Developer Identifier may not be applied or embedded on any products or product packaging.

1.3.2 The Application Developer Identifier may not be modified, redrawn or reconfigured under any circumstance. Only the electronic artwork files provided by Motorola Solutions may be used.

1.3.3 Do not attach or combine any additional trademarks or trade names, or overprint the Application Developer Identifier without the prior written consent of Motorola Solutions.

1.3.4 The color of the Application Developer Identifier cannot be modified.

1.3.5 The Application Developer Identifier cannot be used in a sentence or in a headline. However, a reference to Motorola Solutions may be used as long as it appears in the same type of font as other text in the sentence or headline.

1.3.6 Your name, product name, and logo, if presented with the Application Developer Identifier, must appear larger that the Application Developer Identifier.

1.3.7 If the Application Developer Identifier is displayed with the logo of other third party vendors (other than yours), the Application Developer Identifier should be displayed at the same size as the other logos or trademarks.

1.3.8 You agree to include the following statement at or near the conclusion or end of the printed material: “MOTOROLA, MOTO, MOTOROLA SOLUTIONS, and the Stylized M Logo are registered trademarks of Motorola Trademark Holdings, LLC and are used under license. All other trademarks are the property of their respective owners.”

1.3.9 The name MOTOROLA, MOT, MOTO variations (including MOTOTRBO), Motorola Solutions product names, model numbers, or other Motorola Solutions or Motorola Trademark Holdings trademarks cannot be used, in whole or in part, as part of any product or service name, any trade name under which you conduct business, or as part of any Internet domain name, web address, or e-mail address.

1.3.10 You agree not to: (a) use or depict the Application Developer Identifier in a false or misleading manner; (b) disparage Motorola Solutions, the Application Developer Identifier, Motorola Solutions or its licensors’ trademarks, or any of its products or services, or portray them in an unfavorable manner, or in connection with any profane, harmful, threatening, illegal or unlawful, abusive, libelous, defamatory, harassing, hateful, pornographic, obscene, offensive, sexually explicit, or violent materials, or materials promoting or encouraging, liquor, guns or firearms, drugs, gambling, crime or death, illegal activities or discrimination based on sex, religion, nationality, disability, sexual orientation, or age; or (c) indicate sponsorship, affiliation or endorsement of you, your product(s), or service(s) by Motorola Solutions.

2. TERM AND TERMINATION

2.1 Your right to use the Application Developer Identifier will being when you click the “ACCEPT” button, which constitutes acceptance of the terms and conditions in this Agreement, and shall be coextensive with the term of the applicable Application Programming Interface License Agreement or Software Development License Agreement (collectively known as “License Agreement”) entered into between Motorola Solutions and you.

2.2 Motorola Solutions may withdraw its consent to use the Application Developer Identifier at any time by providing you with a thirty (30) day written notice.

2.3 Motorola Solutions may, upon written notice to you, immediately withdraw its consent to use the Application Developer Identifier upon a breach by you of any of the provisions of this Agreement or the applicable License Agreement.

2.4 Upon expiration or termination of this Agreement, you will promptly cease using the Application Developer Identifier.

3. DISCLAIMER OF WARRANTIES

MOTOROLA SOLUTIONS PROVIDES ALL MATERIALS “AS IS” AND EXPRESSLY EXCLUDES ALL WARRANTIES, EXPRESSED OR IMPLIED, AND SPECIFICALLY EXCLUDES, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF SATISFACTORY QUALITY AND OR FITNESS FOR A PARTICULAR PURPOSE.

4. TITLE AND OWNERSHIP

You acknowledge that Motorola Solutions or its licensors are the exclusive owners of the Application Developer Identifier and the use of the Application Developer Identifier by you does not convey to you any right, title or interest in or to the Application Developer Identifier. You have no claim or right in the Application Developer Identifier, or any other trademarks, service marks, or trade names owned, used or claimed now or in the future by Motorola Solutions or its licensors.

5. NO OTHER AUTHORIZATION

Motorola Solutions grants no other rights under this Agreement, other than as expressly provided in Section 1, including no license under any Motorola Solutions patents, express or implied.

6. NOTICES

Motorola Solutions may provide any notice to you under the terms of this Agreement by sending a message to the email address then associated with your account. Notice provided by email will be effective when Motorola Solutions sends the email. It is your responsibility to keep your account contact email address current. You will be deemed to have received any email sent to the email address then associated with your account when Motorola Solutions sends the email, whether or not you actually receive it.
Notices you provide to Motorola Solutions under the terms of this Agreement must be sent by courier, or registered or certified mail to Motorola Solutions, Inc., 500 West Monroe Street, Chicago, IL 60661, Attention: Law Department – IP. Notices sent by you are effective upon receipt.

7. GENERAL

7.1 This Agreement constitutes the entire agreement between the parties concerning the subject matter of this Agreement and supersedes all previous written or oral communications or understandings regarding the same. This Agreement may be amended only in writing signed by both parties.

7.2 No waiver of a party’s right or remedy under this Agreement will constitute a waiver of another right or remedy of that party.

7.3 If any term, clause, or provision of this Agreement is judged to be invalid or unenforceable, the validity of any other term, clause, or provision will not be affected, and such invalid or unenforceable term, clause, or provision will be deemed deleted from this Agreement.

7.4 This Agreement will be governed by the laws of the State of Illinois, United States of America, without regard to the conflict of law rules.

7.5 The parties agree that where the context of any provision indicated an intent that it survives the terms of this Agreement, then it will survive.

IF THE FOREGOING TERMS AND CONDITIONS ARE ACCEPTABLE TO YOU, PLEASE INDICATE YOUR AGREEMENT AND ACCEPTANCE BY CLICKING BELOW ON THE BUTTON LABELED “ACCEPT”.
