Duties and Expectations of a Director
Purpose: Dravet Canada needs committed people to help bring us forward. This policy outlines our expectations for Directors.
We are filling the entire Board at this election:
One Co-Chair - One year term
One Co-Chair - Two year term
Treasurer - One year term
Secretary - Two year term
Multiple Directors
Position Description: As a member of the Board of Directors, each individual Director is responsible for the following:
• A Director is expected to commit the time required to perform duties. You could expect to devote an average of twelve hours per month. The Board of Directors meets bi-monthly throughout the year, one of these meetings could be face-to-face. There will regular communications via email between meetings, Board members will need to respond at least weekly.
• Ensure regular attendance at Board Meetings. Provide Secretary with advance notice in the event of an absence. Missing three meetings without providing regrets may result in removal from the Board.
• Come prepared and well informed to participate in discussions at Board and committee meetings, follow our code of conduct, and support Board decisions.
• Suggest agenda items for Board and committee meetings to ensure that important matters are discussed and projects moved forward.
• Maintain confidentiality of the Board’s executive decisions, and speak for the Board or organization only when authorized to do so by the Board.
• Act honestly, in good faith and in the best interests of the corporation.
• Support the organization’s mission, purposes, goals, policies, and programs.
• Serve on at least one standing committee/project of the Board.
• Attend activities and events sponsored by the organization whenever possible.
• Represent the Board and/or the organization at local, provincial, national or international events.
• Suggest possible nominees to the Board or members for committees who can make significant contributions to the work of the Board and the progress of the organization.
• Continuously expand knowledge about the activities of the organization and its stakeholders, and Dravet spectrum disorders in general.
