Contract Terms

WHEREAS; Mad Angel and KC Sunshine are the owners of all rights including but not limited to the dramatic radio, movie, print, and television rights in a certain work known as the Official Gay America Esquire Contest / Pageant.



The Promoter desires to promote similar pageants, also known as official or direct preliminaries to the Official Gay America Esquire Contest / Pageant. with the exclusive right of the winner and 1st alternate of said pageant to be the Official entry in the next Official Gay America Esquire Contest / Pageant, and WHEREBY IT IS HEREBY AGREED AS FOLLOWS:

Mad Angel and KC Sunshine does hereby grant to the Promoter, the exclusive right to present a contest / pageant of the type set out above, with the winner and 1st alternate thereof being the official entry from said state or region in the next official Gay America Esquire Contest / Pageant, subject to the following terms and conditions:

This franchise agreement is non-transferable without the written consent of Mad Angel Entertainment KC Sunshine Entertainment.

The Promoter, upon signing this agreement agrees to pay KC Sunshine Entertainment the annual sum of $500.00 as a pageant fee. Said annual fee is valid for the Gay America Esquire 2026 Pageant season. It is understood that said fee DOES NOT cover the appearance fee of the reigning Gay America Esquire titleholder, who is required to attend the State/Regional Preliminary Pageant.

This agreement will be renewable on a yearly basis, at the option of Mad Angel and KC Sunshine. As of the effective date of this agreement, the “standard” franchise preliminary pageant fee is $500.00 per annum. For new promoters, fifty percent (50%) of the pageant fees are due and payable in full at the time of consummation of this Agreement prior to the announcement of the above named contest / pageant, as an “official preliminary”. Subsequent year contest / pageant fees (for veteran promoters) are due the first day of April or 30 days prior to the contest, whichever occurs first, of the calendar year in which the pageant is held, unless otherwise approved in writing by Mad Angel or KC Sunshine. Payments can be made with approval from KC Sunshine but must be paid in full 30 days prior to the schedule preliminary contest / pageant. If the promoter, KC Sunshine, or Mad Angel cancels the preliminary for any reason the fee will be refunded minus $100 to cover expenses and fees spent. If a crown or medallion were sent the crown is refundable once returned. 

Unless otherwise indicated in writing by Mad Angel or KC Sunshine, Contest / Pageant fees include: franchise fee, medallion fee, contestant photo and one 8.5” x 11 full page color ad fee (to be published in the next national souvenir program according to Advertising Specifications), a prestructured (by Mad Angel or its assigns) webpage on the www.gayamericaesquire.com website and two (2) guest passes for all events of the next Gay America Esquire Contest / Pageant. Contest / Pageant fees are subject to change and are changed at the discretion of Mad Angel Entertainment or KC Sunshine Entertainment.

A deposit is required as stipulated whereby an installment agreement is approved by Mad Angel or KC Sunshine however, a contest / pageant may not have a confirmed date set for the pageant or can a pageant date be confirmed and held without a deposit of at least 25% of the pageant fee being paid. Likewise, a contest / pageant date may not be advertised unless approved by Mad Angel Entertainment or KC Sunshine Entertainment.

The franchise will extend for a period of the most current “contest / pageant season” which is generally the day after the coronation of the new Gay America Esquire (who will reign during the current contest / pageant season) which is in May of the calendar year and likewise will terminate on the final night of the reign of the most current Gay America Esquire (who will reign during the current contest / pageant season). Renewal intent for the next contest / pageant season must be made within a 90 day period after the final night of the Official Gay America Esquire Contest / pageant. It is the general procedure of the national office to obtain annually, a current (for the next contest / pageant season) Franchise Agreement however in the event that a current (for the next contest / pageant season) Franchise Agreement is not properly executed, the most recent Franchise Agreement (with the current Promoter) shall govern, pending proper execution of a current Franchise Agreement. If appropriate renewal procedures are not followed, the contest / pageant will revert to the sole ownership of Mad Angel / KC Sunshine Entertainment, it successors or assigns. While this Franchise Agreement may indicate a certain "contest / pageant season" the terms and condition of this Franchise Agreement is automatically renewable unless the Promoter advises (in writing) Mad Angel, within 30 days of the calendar year end, of intent for non-renewal. Although this Agreement is "automatically" renewed, Mad Angel / KC Sunshine retains the rights to require the Promoter to sign a "current" Franchise Agreement annually.

With proper execution of this Agreement and payment of the Franchise fee named within, the Promoter will be guaranteed the exclusive use of the name of the contest (named in this Agreement) and designation of said contest / pageant, as a official direct preliminary within the Official Gay America Esquire Contest / pageant System so long as the Promoter remains in good stand with the national office. If declared by the national office, not to be in good-standing, the franchise will be revoked and returned to sole ownership of the Gay America Esquire Contest / pageant system whereby the Promoter forfeits any and all fees previously paid to the national office, its successors and/or assigns.

The Official Mad Angel / KC Sunshine Entertainment logo “Gay America Contest / pageants official preliminary a division of Mad Angel / KC Sunshine Entertainment with Symbol of Excellence” logo must be used on all contest applications, advertising, and all other related materials.

The Promoter agrees that the Promoter must provide two entries from said preliminary for competition in the Official Gay America Esquire Contest / pageant. The preliminary qualifying contestants (winner & 1st alternate) are responsible for the entry fees for their entries into the Official Gay America Esquire Contest / pageant, and the entry fees must be paid in full no later than 30 days after the prelim contest / pageant as they are included in the contest / pageant fees detailed herein. If the Promoter is unable to provide 2 qualified contestants to compete in the next national competition, Mad Angel / KC Sunshine may appoint a contestant as a “Representative” of said contest. Said appointed position, by the national office will occur consistent with the Promoters Handbook detail relative to appointed contestants.

The Promoter agrees to abide by all rules and regulation of the Gay America Esquire organization as detailed in the official Gay America Esquire Handbook for Promoters. Likewise, the Promoter clearly understands that such willful violation can result in revocation of their franchise and forfeiture of any fees paid to the national office. The national office reserves the right to adjudicate any actions of the promoter that are deemed otherwise than to be in the best interest of the Gay America Esquire organization whereby the decision of the national office relative to any issues will be final.

The Promoter will be required to furnish its own applications and rules with regulations parallel to the guidelines of the Official Gay America Esquire Contest / pageant.

State Promoters will provide to its City Preliminary Promoters, a copy of the Promoters Handbook. Any variation or amendment to the national regulations must be approved in advance and in writing by the national office.

State Promoters will provide to its City Preliminary Promoters, a Franchise Agreement that parallel the regulations of the Gay America Esquire organization. Any variation or amendment to the national regulations must be approved in advance and in writing by the national office.

The Promoter must use the Official Gay America Esquire score sheets and implement the accumulative scoring system. THERE ARE NO EXCEPTIONS.

If at anytime during the franchise year, the actions of the Promoter are determined to be damaging to the purchased franchise of the Official Gay America Esquire Contest / pageant, or contest / pageant fees are not made on demand, or the contest is not consistent with standards of Mad Angel, or the franchise fails to follow the rules and regulations for preliminary promoters, included but not limited to those detailed in the Handbook for Promoters, Mad Angel / KC Sunshine will have the right to cancel all franchise operations with the

Promoter and transfer the franchise controlling the preliminary to another party immediately with no refund of any fees paid by the Promoter to Mad Angel. Additionally, Mad Angel / KC Sunshine reserves the right to cancel the franchise operations completely, without appointing another party to proceed with franchise operations for a particular contest / pageant season whereby the Promoter forfeits any franchise fees paid to the Gay America Esquire organization.

This contract shall be construed under the laws of the State of Maryland.

New Promoters are required to acquire as Lead Judge, a current national Advisory Board Member, notated in the Gay America Esquire Promoters Handbook, for the first year they hold their preliminary contest / pageant unless otherwise approved by Mad Angel / KC Sunshine in writing. Likewise, new promoters shall furnish in advance of the contest / pageant and for approval by the national office, a
detail listing of the proposed panel and Judges including the qualifications of said Judge.

Closed State preliminaries, with city preliminaries, will be required to provide the City Preliminary owner with a Franchise Agreement (provided by the national office) similar to this agreement by and between the national office and the state/regional preliminary promoter. Additionally, City Preliminary owners shall be provided (by the state contest / pageant owner) with a
Promoter’s Handbook.

Upon coronation, the Promoter should provide to the newly crowned contest / pageant winner, a copy of
the Promoters Handbook so as to ensure the best representation of the current titleholder.

The Promoter understands that there will be no advertising of this contest, including distribution of contestant applications, website formation, until the contest / pageant fee has been paid in
full, unless otherwise approved by the party of the first part.

As detailed in the Handbook for Promoters, only certain entertainers may appear at the
preliminary contest / pageant as a preliminary to Gay America Esquire should “showcase” only the Gay America Esquire system participants, as detailed in the promoter’s handbook. Any exceptions must be approved in advance by Mad Angel / KC Sunshine Entertainment.

Regardless of how many promoters are part of this franchise, only (2) one-week passes per promoter entity (or individual) will be provided for the week of the Gay America Esquire contest / pageant. Mad Angel / KC Sunshine reserves the right to declare, in the absence of the Promoter, who shall receive said passes.

This Agreement is considered confidential, by and between Mad Angel / KC Sunshine and the specific promoter(s) who executes this Agreement.

Promoters are required to furnish to the national office, detail of their contest / pageant, as indicated on
their specific webpage of the www.missgayamerica.com website. The particular contest / pageant will
not be held without such specific information being provided to the national office.

Entertainers for the direct preliminary contest / pageants or any official sanctioned Gay America Esquire Contest / pageant events, will be provided, in advance, detail of regulations relative to
Entertainers/Emcees.

The Promoter(s) recognizes that from time to time an internal detail of Suspended Affiliates
will be published as an “internal” document and ONLY for the intended use of direct preliminary contest / pageant promoters. Likewise, such distribution of the Suspended Affiliates Register without the advance and written approval of Mad Angel / KC Sunshine will constitute revocation of the Franchise by the national office.

This agreement, combined with the Handbook for Promoters includes but may not limited to all of the requirements of the national office. The Promoter agrees that with any issues, the ruling of Mad Angel / KC Sunshine will be considered final.

If the Promoter(s) designates a “Contest / pageant Director”, the national office should be notified immediately, otherwise, unless detailed in writing, all correspondence concerning the contest / pageant will be between the national office and the below signed party.

The Promoter agrees to notify Mad Angel / KC Sunshine of any changes in a timely manner relative to their specific contact information.

It is clearly understood that all official preliminary contest / pageants, to Gay America Esquire are held under the ownership of Mad Angel / KC Sunshine Entertainment, its successors and/or assigned and any contest / pageant franchise not renewed, or revoked, will revert back to the sole ownership of Mad Angel / KC Sunshine Entertainment.

Mad Angel / KC Sunshine Entertainment has authority to override Preliminary Contest / pageant Promoter decisions, in the event that such decisions are deemed by Mad Angel, to not be in the best interest of the Gay America Esquire contest / pageant system.

This agreement is effective for the Gay America Esquire 2026 contest / pageant season but may be automatically renewed as detailed above. If automatically renewed, all current rules and regulations of the Gay America Esquire Contest / pageant is priority over any others that may have been pre-existing. If a subsequent Franchise Agreement for future contest / pageants is not executed, the Promoter clearly agrees to the continuation of the rules and regulations denoted herein AND any amendment thereof or new regulations as adopted by Mad Angel, its successors and/or assigns, with or without advance notice.

All preliminary contest / pageants approved as Gay America Esquire Contest / pageants (including City Preliminary Contest / pageants, State Contest / pageants and Regional Contest / pageants) are all ultimately owned under the umbrella of Mad Angel / KC Sunshine and will revert back to the sole ownership of Mad Angel, in the event contest / pageant rights are revoked by Mad Angel, its successors and/or assigns.

Promoters must have internet access and email availability. Promoters must also be able to receive attachments of information that are will be created through Microsoft Word/Excel programs.

The Promoters clearly understands that if their particular contest is scheduled on immediate days following another contest, said Promoter will be required to split travel accommodations (i.e. airfare or fuel expense) costs with the promoter of the most recent and previously scheduled contest. If there are more than one preliminary contest / pageant scheduled in close proximity, one with another, the promoters involved will are required to share travel expenses for Gay America Esquire e.g. a "three stop" flight versus a "two stop" flight. Promoters agree to work out the specifics relative to travel accommodations with the reigning Miss Gay
America.

Handbooks are available only via Internet or in electronic format.

The Promoter understands that Mad Angel / KC Sunshine may require a photo identification
of all parties involved including but not limited to contestants, promoters and contest / pageant directors.

The promoters understand that he/she is responsible to supply the ad, for the national souvenir program, to Mad Angel, within the timeline requirements and within advertising specification. Additionally, the portion of the contest / pageant fee designated as the ad/contestant photo fee is for the placement of the ad and photos, into the national program, and not the construction thereof.

Mad Angel / KC Sunshine Entertainment is working with a production company on a potential series. We may need to make adjustments during the year to the competition for the purpose of filming. All promoters and contestants must agree to all changes and to consent to filming. All material filmed could be put on streaming or network television. The results of the competition would still be judged the same way and would never be dictated by the production company. By completing this contract you agree to these terms.

By signing and sending this agreement, you also consent and agree to all of the information contained in this Agreement whereby said information contained herein includes but is not limited to all of the official rules and regulation of the Gay America Esquire Contest / pageant system.
