RollerCon Confidentiality Agreement
1. Confidential Information.
Through the course of working with the RollerCon Planning Committee for the purposes of planning the RollerCon event, the Recipient will generate and share confidential and proprietary information (the "Confidential Information"), including but not limited to corporate contacts for potential sponsors and financial information regarding the relationship between RollerCon and potential and negotiated sponsors, vendors and suppliers. Such Confidential Information shall include all data, contacts, materials, products, technology, computer programs, login and password information, marketing plans and ideas, specifications, manuals, business plans, software, financial information and access to information, and other information disclosed or submitted, orally, in writing, or by any other media, to Recipient through the course of their work with RollerCon. This specifically includes any information created, developed, or worked on by Recipient in the course of doing business for RollerCon. Confidential Information disclosed orally shall be identified as such verbally within five (5) days of disclosure.

2. Recipient's Obligations.
Recipient agrees that the Confidential Information is to be considered confidential and proprietary to RollerCon and Recipient shall hold the same in confidence, shall not use the Confidential Information other than for the purposes of its business with RollerCon. Recipient will not disclose, publish, use, or otherwise reveal any of the Confidential Information received through their work with RollerCon to any other party whatsoever – including their home league - except with the specific prior written authorization of the General Manager of RollerCon, listed below. Pre-existing contacts shared between the Women’s Flat Track Derby Association and RollerCon shall be identified in advance so that no conflict of interest will exist.
Confidential Information furnished in tangible form shall not be duplicated or transferred by Recipient except for purposes of this Agreement. Upon the request of RollerCon, Recipient shall return all Confidential Information received in written or tangible form, including copies, or reproductions or other media containing such Confidential Information, within ten (10) days of such request.

3. Term.
The obligations of Recipient herein shall be effective from the date Recipient joins the RollerCon staff for the period of two years after their resignation, in writing, of involvement in the RollerCon staff. If no written resignation is offered, the terms will be considered binding until it is.

4. No License.
Recipient agrees not to use any Confidential Information as a basis upon which to develop or have a third party develop a competing or similar product or relationship.

5. Governing Law and Equitable Relief.
This Agreement shall be governed and construed in accordance with the laws of the United States and the State of Nevada and California. Recipient consents to the exclusive jurisdiction of the state courts and U.S. and federal courts located there for any dispute arising out of this Agreement.
