SECTION I SERVICES and LOCATION Ransom Tutoring shall provide tutoring services to the Student in any of the subjects offered by tutors in the network at a mutually agreed upon location or via online tutoring platform. SECTION II FEES and PAYMENT FEES: Fees shall be calculated at a rate of $ 55.00 per hour of tutoring for single sessions or $ 65.00 per hour of tutoring for single sessions in high demand subjects such as higher level science (chemistry, physics, college/AP/IB), math (integrated math 3, algebra 2, pre-calculus, trig, calculus, college/AP/IB),or other AP subjects; $80.00 per hour for two (2) students or $ 90.00 per hour of tutoring for high demand, $105.00 per hour for three (3) students or $120.00 per hour for high demand, or $120 per hour for four (4) or more students or $140.00 per hour for high demand. Fees may be adjusted from time to time and shall become effective after having given the Student 14 days advance written notice. Any additional compensation arrangements (i.e., travel expenses, additional books or resource materials, other supplies, weekend or late night fees) will be agreed upon between the Parties prior to such compensation being charged. Sessions over/under an hour will be prorated in 15 minute increments. Special tutoring sessions such as note taking strategies or writing essays for college admissions or scholarships will have prices negotiated on a case by case basis. PAYMENT: All payments shall be received by Ransom Tutoring 24 hours prior to the first scheduled session and then within 48 hours of each additional session unless an alternative arrangement is made between the Parties. All fees are paid directly to Ransom Tutoring and not to the individual tutor assigned to the Student. Accepted methods of payment include: ( ) Cash ( ) Check (Note: returned nonsufficient funds checks are subject to a $25.00 fee) ( ) Bank Transfer (through PayPal) SECTION III SCHEDULE OF LESSIONS Tutoring shall commence on the date specified and will continue on mutually agreed upon dates and times by the Parties. Fees are calculated according to the times agreed upon by the Parties and no adjustment shall be made for time lost because of late arrival by the Student. Any lost time because of the late arrival of the assigned tutor shall be compensated for by extending a session by mutual agreement based on the amount of time that was lost. SECTION IV CANCELLATION POLICY CANCELLATION BY STUDENT: A scheduled tutoring session may be cancelled by giving at least 24 hours advance notice to Ransom Tutoring without penalty. If the cancellation occurs within 12 hours of the scheduled tutoring session, the Student will be charged a $25.00 non-refundable fee. If the assigned tutor arrives at the scheduled time and location for the tutoring session and the Student is absent, the tutor will wait 15 minutes and, if the Student has not arrived by that time, the assigned tutor may leave and the Student will be charged for the full minimum hour fee. All reasonable extenuating circumstances will be taken into account but repetitive late cancellations or late arrivals may result in termination of the tutoring services. CANCELLATION BY TUTOR: At times, Ransom Tutoring may find it necessary to reschedule a session and will give as much prior notice to the Student as possible. Ransom Tutoring shall reschedule the appointment at a time agreeable to both Parties or, if Parties cannot agree to reschedule the session, the Student shall be refunded in full for the missed session fee. SECTION V OBLIGATIONS OF THE TUTOR The tutor undertakes to do all preparation prior to a tutoring session and to structure sessions in such a way as to optimize the time to the benefit the Student. The tutor shall keep confidential all information of the Student and shall contact other parties involved in the education of the Student only if given written permission by the Student. The tutor shall at no time be required or obliged to execute homework or assignments on behalf of the Student. The tutor shall not violate the academic honesty policy or other ethical conduct policies of the Student’s school, university, academic institution, or workplace. SECTION VI OBLIGATIONS OF THE STUDENT The Student undertakes to assist the tutor in identifying problem areas in which the Student needs specific tutoring. The Student agrees that assignments, exercises or homework form an integral part of tutoring and undertakes to complete such work in a timely manner. SECTION VII NO WARRANTIES or GUARANTEES Ransom Tutoring makes no promises or warranties with regards to a Student's performance as a result of any tutoring provided. Ransom Tutoring will not be held liable or responsible for the academic success or lack thereof demonstrated by the Student. Although Ransom Tutoring will provide tutoring services with the goal of improving the Student’s grades and academic skills, Ransom Tutoring cannot guarantee such goals will be met. SECTION VIII LIMITATION OF LIABILITY Ransom Tutoring shall take all precautions necessary for the safety of and prevention of damage to property on or adjacent to a tutoring on-site location, and for the safety of and prevention of injury to persons on or adjacent to a tutoring on-site location. To the maximum extent permitted by law, the Student agrees to limit Ransom Tutoring’s liability for the Student’s damages to the sum of $50.00 or Ransom Tutoring’s session fee, whichever is greater. This limitation shall apply regardless of the cause of action or legal theory pled or asserted SECTION IX STATUS OF TUTOR It is expressly understood that the Student retains the services of Ransom Tutoring as an independent contractor and not as an employee. Ransom Tutoring shall be responsible for its insurance and for all statutory declarations and contributions with regard to income tax. Each tutor contracted with Ransom Tutoring is done so in good faith and belief that such tutor will perform to the best of his or her abilities. If a Student has a complaint against the assigned tutor, Student will inform Ransom Tutoring per the above contact information within 24 hours of such incident. SECTION X ENTIRE AGREEMENT and MODIFICATION This Contract constitutes the entire understanding between the Parties with regard to the subject matter thereof and the Parties waive the right to rely on any alleged expressed or implied provision not contained herein. Any alteration or modification to this Contract must be in writing and signed by both Parties. SECTION XI SEVERABILITY IN EVENT OF PARTIAL INVALIDITY If any provision of this Contract is held in whole or in part to be unenforceable for any reason, the remainder of that provision and of the entire Contract will be severable and remain in effect. SECTION XII MEDIATION CLAUSE If a dispute arises out of or relating to any aspect of this Contract between Student and Ransom Tutoring, or the breach thereof, and if the dispute cannot be settled through negotiation, the Parties agree to use good faith attempts to settle the dispute through mediation administered by the American Arbitration Association under its Commercial Mediation Rules before resorting to arbitration, litigation, or some other dispute resolution procedure. SECTION XIII TERMINATION This tutoring contract may be terminated by either party at any time, within the cancellation policy set forth in Section IV of this Contract, by giving the other party written notice. SECTION XIV ACCEPTANCE AND SIGNATURE The Parties have read and understood the foregoing terms and agree to them as of the date of that Ransom Tutoring first provided services. Where the Student is a legal minor, the Parent/Guardian of the Student shall enter into this Contract on behalf of the Student and shall accept and agree to all the terms and conditions contained herein on behalf of the Student. This Contract may be signed in counterpart and electronic signatures of the Parties shall be effective as the original signatures. By the Parties signing below, each party acknowledges they are entering into this Contract and agree to be bound by its terms as stated.
