This agreement made between the below named 'Client' and the Vendor, Sherdellah Designs, on the date listed below. This electronic agreement is considered valid and binding whether in original, scanned, photographic or copy format. Client also agrees to Terms put forth via Estimate and on website.

The acceptance of this estimate will become the binding agreement between the undersigned referred to as the “Client” and Sherdellah Designs referred to as the “Designer” and is subject to our standard terms and conditions. This proposal is valid for 30 days from the date listed.

DESIGN PROCESS: (1) For all custom designs, after confirmations, an initial design estimate will be emailed to Client for review. (2) After adjustments to Estimate total, a 50% deposit is required to start the design phase. Any consultation fees are applied towards deposit payment if Sherdellah Designs services are hired. Design will not begin without deposit. (3) All proofs will be emailed. There will be 3 rounds of revisions. Additional revisions will incur fees. (4) The balance is due upon final design approval (before the print production phase). (5) Final designs are sent to print and production. (6) Final products are delivered to Client.

DEPOSIT & PAYMENT: The 50% deposit for each project (save the dates, invitations, event day stationery, etc.) is due at the time of your order and Estimate agreement. The remaining balance (and any additions) must be paid in full before printing. Methods of payment: PayPal (additional 5%), Credit cards via PayPal (+5%), Venmo, Bank Wire, Check, Money Order or Cash. Details provided in Estimate PDF. There is a $25 fee for returned checks.

PRICING : Pricing changes may be affected by an increase or decrease in supplier, service and/or production costs. The Client shall be responsibile for making additional payments for changes requested by the Client in original assignment. However, no additional payment shall be made for changes required to conform to the original assignment description. The Client shall offer the Designer the first opportunity to make any changes.

RUSH ORDERS: Orders may be considered rush if they are needed within a 2-week turnaround. Rush orders are accepted depending on availability and the requirements of the project. Rush orders will add a charge of 50% to your order total.

PROOFING: It is the Client’s full responsibility to carefully review emailed digital proofs for any error. This includes: all spelling, layout, detail information such as (but not limited to) date, venue, websites, phone numbers, directions, etc. Once you give your final approval, any missed errors are corrected at Client’s expense. The Client agrees not to hold Sherdellah Designs (or affiliates) responsible for any misspellings or misinformation that may be been overlooked in the design and information. Upon request, additional fees incur for every requested printed proof, before the final production phase.

COLOR PROOFING: Regarding color display, please be aware that Sherdellah Designs does best to represent the colors of products in all photos and proofs. All computer monitors, tablets, and cell phones display images in RGB format (calibrated differently) and printing is done in CMYK format. Because of this, a slight color variation from your screen to print may occur.

QUANTITIES: Most styles of invitations are ordered in sets of 25. It is recommended that you order a minimum of 10 extra for any last minute guests and keepsakes.

TIMELINE: A timeline and estimated completion date will be included to your contract. Sherdellah Designs will strive to work within this timeline, but it is important for the Client to also respond in a timely manner. Sherdellah Designs will not be responsible for not meeting deadlines due to delayed Client responses (also see Force Majeure clause below).

CONFIDENTIALITY: All work in progress shall remain confidential and its creativity owned by Designer until such time as the material becomes available in the public domain. The Client shall not take or use the designed proofs and designs produced by Designer until the project is completed and payment is made.

DESIGN PROPERTY: All designs, concepts, and native files are property of Sherdellah Designs. Sherdellah Designs retains all rights to use preliminary and completed designs for the purpose of display or for other Clients, upon request.
Promotion: The Client gives the Designer permission to use produced artwork in promotional and marketing pieces (portfolio, website, etc), unless otherwise noted below.

CANCELLATIONS & REFUNDS: If there is a need to cancel your order, please contact Sherdellah Designs immediately. Because of the personalization of custom stationery, printed orders are non-refundable. Every effort is made to assure your satisfaction. If there is an error on part of Sherdellah Designs, we will do our best to correct the problem. In the event of a project cancellation, should the Client be unable to keep their commitment and the project is canceled or postponed indefinitely, the Client shall be liable to reimburse Designer in full for any design work completed up to that point (excluding consultation fees).

DELIVERY: Any additional shipping charges will be added to your final invoice, but Client may pick-up completed orders to avoid final shipping charges. All shipping and postage costs will be covered by the Client and completed order shipped to the address provided. Sherdellah Designs will NOT be held responsible for orders “lost in the mail” due to undeliverable addresses, mail system delays, any damages incurred during shipping. Once order is placed in the mail it becomes the responsibility of the mail courier. Sherdellah Designs does not guarantee the arrival date of any order. If the courier damages or loses the order, Sherdellah Designs is not liable for the loss. Items are not considered lost until 30 days after the shipment date.

GUEST ADDRESSING: Client provides guest names and addresses to Sherdellah Designs on a vendor-created Excel Spreadsheet. The guest names and addresses are pulled directly from this spreadsheet. Sherdellah Designs will not make changes to the spreadsheet, therefore all names, spellings, addresses, etc must be correct prior to sending the file to Sherdellah Designs. With the exception of adding names or addresses, Sherdellah Designs will not accept changes to the sent file once address printing has begun.

MAILING POSTAGE: Postage stamp options available for U.S. domestic addresses. RSVP postage varies from RSVP postcard postage. Complete invitation suites incur additional rates depending on size and weight of invitations. Due to local post office variables, it will be the responsibility of the Client to mail each invitation to the guest recipients. Sherdellah Designs will mail the full box of invitations to the Client.

FORCE MAJEURE: If either party hereto is prevented in the performance of any act required hereunder by reason of (greater force) act of God, fire, flood, or other natural disaster, malicious injury, strikes, lock-outs, or other labor troubles, riots, insurrection, war or other reason of like nature not the fault of the party in performing under this Agreement, then performance of such act shall be excused for the period of the delay and the period of the performance of any such act shall be extended for a period equivalent to the period of such delay except that if any delay exceeds six months, then the party entitled to such performance shall have the option to terminate this Agreement.

LIMITATION OF LIABILITY: Client agrees that it shall not hold the Designer or his/her agents or employees liable for any incidental or consequential damages that arise from the Designer’s failure to perform any aspect of the Project in a timely manner, regardless of whether such failure was caused intentional or negligent acrs or ommissions of the Designer or a third party.

DISPUTE RESOLUTION: Any disputes in excess of $_____ (maximum limit for small claims court) arisitng out of this agreement shall be submitted to binding arbitration before a mutually agreed-upon arbitrator porsuant to the rules of the American Arbitration Association. The Arbitrator’s award shall be final, and judgement may be entered in the State of California having jurisdiction thereof. The Client shall pay all arbitration and court costs, reasonable attorney’s fees, and legal interest on any award judgement favor of the Designer. In any action or legal proceeding of any kind brought by Client against Designer for any alleged negligence or any other form of misconduct on the part of Designer, its employees, or agents in connection with a claim for any failure to provide services in a manner unsatisfactory to Client under this agreement, in no case shall the Designer’s liability exceed the amount estimated and agreed upon with the Client under this agreement.

ACCEPTANCE OF TERMS: Client is in Agreement with Designer in accordance to the policies set above. Both parties agree that, upon written communication, agreement can be amended as deemed necessary.
