Reference is hereby made to that certain Agreement (the “Agreement”) by and between Ice Partners, LLC (“Owners”) and Company (“Advertiser”).

Owners hereby agrees to provide advertising space on the Dasher Boards of the ice rink for the Advertiser during the term of this Agreement. The specific location of the advertisement will be agreed upon by both parties and shall be in a visible area that ensures the highest level of exposure during all public ice events.

The Advertiser agrees to submit the artwork and/or graphic design of the advertisement to the Owners for approval.

What specs should my original artwork be in? All original artwork must be scaled to 100% of its final size & use the CMYK color model.
What software should I create my artwork with?
Adobe Illustrator, Adobe Photoshop, Quark Xpress (if completed in Photoshop, final layout should be 72 dpi at 100% CMYK files).
What file format works best?
Our preferred file formats include: .al and .eps.
We are also able to accept: .jpg or .tif or .pdf.
Will you provide samples before production?
Of course. We provide proofs and ask for approval before starting production.

The Owners shall have the right to approve all advertisements in terms of content, ensuring compliance with its standards and policies.

The Owners are responsible for all costs associated with the creation and production of the Advertising unless otherwise specified in writing by both parties.

The Owners will install the Advertising on the Dasher Boards at an agreed upon location and maintain the integrity of the Advertising throughout the term of the Agreement. Any necessary repairs due to normal wear and tear will be handled at the expense of the Owners.

The Advertiser is responsible for any costs associated with repairs if the Advertising is damaged due to negligence, misuse, or vandalism.

This Agreement shall commence on the Effective Date and shall remain in effect for a period of three years unless terminated earlier as provided in this Agreement.

Either party may terminate this Agreement immediately if the other party breaches any material provision of this Agreement and fails to cure the breach within 30 days of receiving written notice of such breach.

In the event of termination, the Advertiser shall be responsible for paying any outstanding amounts for services rendered up to the termination date.

The Advertiser agrees not to display any content that:

Violates local, state, or federal law, or
Promotes illegal substances or activities, or
Is offensive, obscene, or discriminatory.

The Owner reserves the right to reject any Advertising that does not meet these content guidelines, in its sole discretion.

The Advertiser agrees to indemnify, defend, and hold harmless the Owners and its officers, directors, and employees from and against any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from the sale of Dasher Board advertisements, including but not limited to disputes with Advertiser or claims related to the content of the advertisements.

The Owners agrees to indemnify, defend, and hold harmless the Advertiser and its officers, directors, and employees from and against any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from any actions or omissions by the Owners related to the installation, maintenance, or removal of advertisements.

This Agreement shall be governed by and construed in accordance with the laws of the state of Texas.

Any disputes arising out of or in connection with this Agreement shall be resolved through mediation, or arbitration.

Any amendments to this Agreement must be in writing and signed by both parties.
