This Non-Disclosure Agreement ("Agreement") is entered into as of [Date] by and between Rancher Navy, a 501(c)(3) nonprofit organization ("Rancher Navy"), and [Volunteer’s Full Name] ("Volunteer").
1. PurposeThe purpose of this Agreement is to protect Rancher Navy's proprietary information, processes, systems, and any sensitive or confidential information the Volunteer may have access to during their association with Rancher Navy.
2. Definition of Confidential InformationFor the purposes of this Agreement, "Confidential Information" includes, but is not limited to:
Internal processes, systems, strategies, and procedures.
Recipient data, including names, addresses, and any other personally identifiable information (PII).
Supply chain details, vendor relationships, and logistical plans.
Information shared by federal, state, and local government partners, first responders, and other agencies.
Any proprietary information related to Rancher Navy’s operations and disaster response activities.
Financial information, donor lists, and other sensitive data.
Confidential Information does not include information that:
Is publicly known at the time of disclosure.
Becomes publicly known through no fault of the Volunteer.
Is obtained by the Volunteer from a third party without a breach of confidentiality obligations.
3. Obligations of the VolunteerThe Volunteer agrees to:
Maintain the confidentiality of all Confidential Information, using it only for authorized Rancher Navy activities.
Not disclose, share, or distribute any Confidential Information to third parties without prior written consent from Rancher Navy.
Securely handle and store all Confidential Information, taking precautions to prevent unauthorized access.
Immediately notify Rancher Navy if they become aware of any unauthorized access, use, or disclosure of Confidential Information.
4. Return or Destruction of InformationUpon termination of their association with Rancher Navy or upon request, the Volunteer agrees to:
Return all materials, documents, and other tangible representations of Confidential Information.
Permanently delete or destroy any digital copies of Confidential Information in their possession.
5. Term of AgreementThis Agreement will remain in effect for the duration of the Volunteer’s association with Rancher Navy and for a period of three (3) years after termination of that association.
6. RemediesThe Volunteer acknowledges that any unauthorized disclosure of Confidential Information may cause irreparable harm to Rancher Navy. In such cases, Rancher Navy reserves the right to seek legal remedies, including injunctive relief and damages.
7. Governing LawThis Agreement is governed by the laws of the State of Texas, without regard to its conflict of law principles.
8. Entire AgreementThis Agreement constitutes the entire understanding between the parties regarding the subject matter herein and supersedes all prior agreements, understandings, or representations.
9. Acknowledgment and AgreementBy selecting "I Agree" below, the Volunteer acknowledges that they have read, understood, and agree to the terms of this Agreement. This electronic acknowledgment is considered equivalent to a handwritten signature under the Electronic Signatures in Global and National Commerce (E-Sign Act).
