1. Parties: “Released Parties” includes Gizmodo Media Group, LLC (“Gizmodo”) and its parents, subsidiaries, affiliated entities, directors, officers, employees, agents, contractors, landlords and insurers, as well as advertisers and sponsors. “Releasing Parties” include the participant as well as participant’s spouse, children, parents, guardians, heirs, next of kin, and any legal or personal representatives, executors, administrators, successors and assigns, or anyone else who might claim or sue on participant’s behalf. 2. Release: In consideration for being permitted to participate in the event, “Fuel Your Inspiration” taking place on February 1, 2017 (the “Event”), and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, I (on behalf of the Releasing Parties), hereby forever waive, release, cove`nant not to sue, and discharge, to the maximum extent permitted by law, Gizmodo and the other Released Parties from any and all claims, including, but not limited to, those resulting from the inherent risks (whether known or unknown) of the Event or the ordinary negligence of Gizmodo (and/or the other Released Parties), that I may have arising out of my participation in the Event, including but not limited to injury, loss and/or theft of possessions, injuries related to transportation. 3. Age: I hereby affirm and attest that I am at least twenty-one (21) years old and have valid identification as proof of the same. 4. Name and Likeness: I grant to Gizmodo the right to take motion and still pictures of me, to record my voice, and to obtain other information about me, including, but not limited to, my name (collectively, “The Name/Likeness Materials”), and the perpetual, irrevocable and freely sublicensable right to use the Name/Likeness Materials in any media now known and/or hereafter devised, worldwide, in connection with publicizing, promoting, exhibiting, or otherwise exploiting the Event, including but not limited to, exhibition on theroot.com 5. Governing Law and Arbitration: This Agreement shall be construed, interpreted and enforced in accordance with and shall be governed by the laws of the State of New York applicable to agreements entered into and wholly to be performed therein. Any controversy between the parties regarding any of the terms, provisions or conditions of this Agreement or otherwise arising out of or relating to this Agreement, shall be settled by arbitration in accordance with the current commercial arbitration rules of the American Arbitration Association. The location of the arbitration shall be New York County, New York. To the extent that the arbitration provisions of this Agreement are not enforced or court proceedings are otherwise required, commenced or maintained, the parties submit to the in personam jurisdiction of the federal and state courts located in New York County, New York, and waive any objections that they may have as to jurisdiction or venue in any such courts.
