Cannabis Business Awards® Nomination and Voting Disclaimer and Agreement

This Nomination and Voting Disclaimer and Agreement (“Agreement”) is made and entered into by and between the undersigned party (“Participant”) and the Cannabis Business Awards® (“CBA”), collectively referred to as “the Parties.” By participating in the CBA Nomination and Voting process, the Participant acknowledges and agrees to the following terms and conditions:

The Participant acknowledges and agrees that the CBA and its affiliates, organizers, sponsors, employees, and agents are in no way liable for any damages, losses, or injuries that may occur as a result of participation in the CBA Nomination and Voting process, including but not limited to the nomination, voting, or awards events. This includes any claims, actions, or causes of action arising from negligence, error, or omission in connection with these events.

By participating, the Participant agrees not to hold the CBA or any affiliated parties liable for any disputes, issues, or claims that may arise from the nomination, voting, or any related activities. The Participant agrees to waive any rights to file a lawsuit or make a claim against CBA, its affiliates, or any other parties involved in the event.

The Participant agrees to keep all information shared in connection with the CBA Nomination and Voting process confidential. This includes, but is not limited to, details regarding nominees, votes, event logistics, proprietary data, scripts, and any materials related to the CBA events, ceremonies, and awards.

The Participant further agrees not to disclose, share, or use any such confidential information for any purpose other than as expressly permitted by CBA. This confidentiality extends to all internal processes, procedures, and categories related to the CBA, which are considered proprietary and confidential information.

The CBA process, including all nomination, voting procedures, event categories, and scripts, is exclusively created and owned by the Cannabis Business Awards®. The Participant acknowledges that they have no claim to any intellectual property, scripts, or processes associated with the CBA and agrees to respect the ownership and protection of this intellectual property.

The Participant agrees that they will not engage in or support any actions that would create or sponsor a competing event or program similar to the CBA’s award ceremonies, categories, or processes for a period of [insert time period] from the conclusion of the event. This non-compete clause applies to any individual, business, or organization directly or indirectly involved with the Cannabis Business Awards®.

The Participant agrees not to duplicate, copy, or imitate the CBA’s proprietary processes, systems, event structures, or any element related to CBA’s operations in any manner that could harm or compete with the CBA's established presence in the cannabis industry.

The Participant agrees that all proprietary information disclosed during the CBA process is protected, and any violation of this confidentiality clause will result in legal action to remedy any harm or damages caused. This includes, but is not limited to, confidential information shared by CBA organizers, sponsors, or affiliated organizations.

The Participant acknowledges that the CBA’s intellectual property, confidentiality, and non-compete agreements are essential to maintaining the integrity and success of the event. In the event of a breach of these terms, the Participant agrees that the CBA is entitled to seek injunctive relief, in addition to any other legal remedies available, to prevent further harm.

By participating in the Cannabis Business Awards® Nomination and Voting process, the Participant acknowledges that they have read, understood, and voluntarily accepted the terms and conditions of this Non-Disclosure and Non-Compete Agreement (NDA/NCA). The Participant further agrees to be legally bound by all provisions outlined herein.

In the event of any dispute, claim, or disagreement arising from or related to this Agreement, the Parties agree to resolve the matter through binding arbitration rather than through litigation. The arbitration will take place in a location selected by CBA and conducted in accordance with the rules of the American Arbitration Association. The decision of the arbitrator(s) will be final and binding.

The Participant agrees that they will not duplicate, copy, or in any way harm the reputation, credibility, or integrity of the Cannabis Business Awards® event or its activities. The Participant agrees to refrain from any actions that could damage or undermine the event, CBA’s reputation, or its sponsors.

Tickets purchased for any CBA event, including the awards ceremony, are non-refundable and are subject to change or cancellation at the discretion of CBA. CBA is not responsible for any damages, losses, or injuries that may occur during the event. By purchasing tickets or attending the event, the Participant agrees to release CBA, its employees, agents, and affiliates from any liability.

Participants and attendees agree to comply with all event rules, regulations, and safety protocols. CBA reserves the right to remove any individual who violates event rules or disrupts the event.

The Participant agrees to indemnify, defend, and hold harmless the CBA, its affiliates, and their respective employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, or expenses (including attorney’s fees) arising out of or in connection with the Participant’s actions, omissions, or participation in the CBA Nomination and Voting process or the awards event.

By participating in the CBA Nomination and Voting process, the Participant agrees to abide by all of the terms and conditions outlined in this Agreement. The Participant acknowledges that they have read, understood, and voluntarily accepted these terms. Type full name and date below to sign. 

Cannabis Business Awards Trademark and Brand Usage Policy

1. Trademark and Brand Protection

The Cannabis Business Awards® (CBA) name, logo, brand, and all associated trademarks are the exclusive intellectual property of the Cannabis Business Awards®, LLC. By participating in or being associated with the Cannabis Business Awards® in any capacity (including nominees, winners, sponsors, partners, or media), you agree to follow the official guidelines and policies regarding the use of the CBA brand and trademarks. Any unauthorized use of CBA's trademarks, logos, and intellectual property is prohibited and subject to legal action.

2. Usage of Cannabis Business Awards® Name and Marks

Participants, sponsors, and affiliates are strictly required to follow the prescribed rules when referencing, displaying, or announcing the Cannabis Business Awards in any format, including but not limited to print, digital, social media, video content, and other promotional materials. Any use of the CBA name or trademark must be in accordance with the following guidelines:

a. Correct Branding:

Always use the full, correct name “Cannabis Business Awards®” in official communications.Do not abbreviate or alter the name in any form (e.g., “CBA” may only be used as shorthand in specific contexts but should not replace the full name without permission with the added trademark shown).

b. Logo Usage:

The Cannabis Business AwardsR logo must be displayed in its original form without modification or distortion.The logo should not be altered in color, size, shape, or orientation. Any use of the logo must maintain the integrity and professionalism of the CBA brand.

c. Official Artwork:

Any artwork, graphics, or visual representations (including event posters, banners, or digital assets) used for the Cannabis Business Awards® must align with the official CBA style guide, which will be provided to authorized entities.Participants, sponsors, or winners must obtain prior written consent from the Cannabis Business Awards® to use any official graphics, promotional videos, or media in their materials. All pictures and media at the event will be the property of the Cannabis Business Awards®.

d. Spelling and Representation:

Ensure that the name "Cannabis Business Awards®" is spelled correctly and that all associated content is presented professionally, representing the prestige of the CBA.Any reference to CBA in digital media, such as social media posts, website content, or press materials, should adhere to proper spelling, grammar, and tone.

e. Social Media and Public Announcements:

When posting on social media or making public announcements related to the Cannabis Business Awards®, you must accurately represent the CBA's branding, including but not limited to using the official hashtags (#CannabisBusinessAwards®) and tagging CBA’s official social media accounts (see above). All content posted by participants, winners, or any other entity related to the Cannabis Business Awards® must adhere to the highest standards of professionalism and reflect the prestigious nature of the event. Our name and accounts must be listed correctly and tagged and no abbreviations will be approved. 

3. Approval of Materials 

All use of Cannabis Business Awards® trademarks, logos, and branding materials for any promotional activity must be pre-approved by the CBA team. This includes, but is not limited to, advertisements, social media campaigns, websites, press releases, and event signage. Any unauthorized use of the Cannabis Business Awards® name, logo, or trademarks in any format is a violation of the terms and will result in immediate legal action and/or disqualification from the event.

4. Legal Compliance

The Cannabis Business Awards reserves the right to take legal action against any individual, business, or organization that uses its trademark or branding in violation of this policy. This includes pursuing remedies for any harm caused by the unauthorized use or misrepresentation of the Cannabis Business Awards® including the value of our prestige, the brand, the trophy, or the trademark.

5. Acknowledgment of Agreement

By participating in or being associated with the Cannabis Business Awards®, all participants, sponsors, and affiliates acknowledge that they have read, understood, and agreed to abide by these rules and guidelines. Any violation of these terms will result in the immediate revocation of the right to use the CBA brand, and may also result in legal action.
