Confidentiality Agreement

Non-Disclosure Obligation: The Consultant agrees not to disclose or utilize, whether before, during, or after the service period, for any purpose other than in the course of providing services to Tri-Phoenix Group, LLC, any current or future trade secrets, confidential knowledge, data, or other proprietary information of Tri-Phoenix Group, LLC. This includes, but is not limited to, designs, logos, trademarks, names, sales, business plans, financial information, know-how, products, processes, computer programs, databases, developmental or experimental work, contracts or agreements, customers, customer lists, customer information, or any other matter related to the business of Tri-Phoenix Group, LLC or any of its affiliates, clients, consultants, or licensees (hereinafter collectively referred to as "Confidential Information").
Scope of Confidential Information: Regardless of whether any of the aforementioned matters would otherwise be considered confidential or important, Tri-Phoenix Group, LLC asserts that all such matters shall be deemed confidential, material, and crucially significant to the effective and successful operation of the business. The Consultant acknowledges the gravity of this obligation and agrees to uphold the confidentiality of the Confidential Information throughout the service period and beyond.
Permissible Disclosure: The Consultant may only disclose Confidential Information as required in the provision of services to Tri-Phoenix Group, LLC. Any such disclosure must be made with the prior written consent of Tri-Phoenix Group, LLC, and the Consultant shall ensure that the recipient of such information is bound by a confidentiality agreement no less restrictive than the terms herein.
Return or Destruction of Information: Upon the conclusion of the service period or at the request of Tri-Phoenix Group, LLC, the Consultant shall promptly return or, at the option of Tri-Phoenix Group, LLC, destroy all copies of Confidential Information in their possession or control.
No Ownership Rights: Nothing in this agreement shall be construed as granting the Consultant any ownership rights, license, or interest in the Confidential Information, except as necessary for the performance of services under this agreement.
Remedies for Breach: In the event of a breach or threatened breach of this agreement, Tri-Phoenix Group, LLC shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity.
Duration of Obligation: The confidentiality obligations set forth in this agreement shall survive the termination of the service period and shall continue for a period of [insert duration] years from the date of disclosure of the Confidential Information.
