In consideration of being allowed to participate in the hackathon that a16z and Cerebral Valley (the "Organizers") are organizing, the undersigned the "Participant" agrees to the following terms and conditions:

Acknowledgment of Risk

The Participant acknowledges that participation in the Event involves certain inherent risks, including but not limited to physical injury, property damage, loss of personal belongings, and exposure to communicable diseases, including but not limited to COVID-19. The Participant willingly and voluntarily assumes all risks associated with participating in the Event.

Release of Liability

The Participant, for themselves, and their heirs, executors, administrators, and assigns, hereby waives, releases, and discharges the Organizers and their respective officers, directors, employees, volunteers, agents, successors, and assigns (collectively, the "Released Parties") from any and all liability, claims, demands, actions, and causes of action whatsoever arising out of or related to any loss, damage, injury, or death that may be sustained by the Participant or their property while participating in the Event.

Indemnification

The Participant agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all losses, liabilities, damages, costs, and expenses (including reasonable attorney's fees) resulting from any claim, action, or proceeding brought by any third party based on or arising out of the Participant's actions, conduct, or participation in the Event.

Medical Treatment

The Participant hereby consents to receive medical treatment that may be deemed necessary in the event of injury, accident, or illness during the Event. The Participant agrees to be financially responsible for any costs incurred as a result of such medical treatment.

Governing Law and Venue

This Liability Release and Waiver Agreement shall be governed by and construed in accordance with the laws of the state of California, without regard to its conflict of law provisions. Any action or proceeding arising out of or related to this Agreement shall be brought exclusively in the state or federal courts located in San Francisco, California.

Release of Information

The Participant agrees to allow personal information submitted to this event (including but not limited to name, email address), with event sponsors for marketing purposes related to products and services that may be of interest to the Participant. The Participant understands that they may receive communications from event sponsors and affiliates after the Event has concluded. Due to the nature of the Event, none of the Organizers can agree to obligations of confidentiality, non-use or non-disclosure with regard to any of your content or any other ideas, information, feedback, pitches, developments or materials that you may provide, share, or use during or in connection with the Event (your "Materials"). You agree that by providing, sharing, or using your Materials in connection with the Event, you agree that your Materials will not be considered confidential or proprietary, and you grant the Organizers a royalty free, transferable, sub-licensable, worldwide and perpetual and irrevocable license to access, use, host, cache, store, reproduce, transmit, display, publish, distribute, and modify your Materials.

Image, Video and Audio Recording Consent

The Participant understands that by participating in the Event, they consent to being photographed, filmed, and/or otherwise recorded. Their participation in the Event constitutes consent to such photography, filming, and/or recording and to any use, in any and all media throughout the universe in perpetuity, of their appearance, voice, and name for any purpose whatsoever in connection with the Event presently being contemplated. This includes, but is not limited to, promotional and marketing materials for the Organizers, or any of the Organizers' successors, parents, subsidiaries, and affiliates. The Participant acknowledges that they do not have any rights to any compensation for any use of their image, voice, or name, and all such photography, film, and/or recordings will be the sole property of the Organizers.

Severability

If any provision of this Liability Release and Waiver Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired in any way.

Binding Effect

This Liability Release and Waiver Agreement shall be binding upon the Participant, and their respective heirs, executors, administrators, and assigns.
