Explanation of Proxy Statement

As described in our bylaws, each member may vote in person or by proxy. All proxies must be in writing and filed with the secretary. For these reasons, it is important that you return your proxy statement. If you return a proxy statement but attend the meeting, you can permit your previously returned proxy to stay active or choose instead to vote at the meeting.

According to HCHA bylaws, the Board of Directors conducts most HCHA business. The main responsibility of each HCHA property owner is to vote in elections for the board. This means your vote to fill board vacancies is particularly important.

The HCHA articles of incorporation and bylaws specify voting and proxy procedures:

  • Every property owner is a member of Hunters Creek Homes Association.  
  • If a property is owned by more than one person, together they can cast only a single vote for a single property. Every property owned entitles the owner or owners to a single vote for each property for each board vacancy.
  • If there is more than one director vacancy, a member can cast one vote for each open director position, but no more than one vote can be cast for any candidate.
  • At all meetings of members, each member may vote in person or by proxy. 
  • As a member, it is a property owner’s right to submit a proxy. If the member attends the meeting, the member may choose to keep the proxy active or have it revoked.
  • All proxies must be in writing and must be filed with the secretary. (When you send your proxy back to HCHA, it is filed with the HCHA secretary.)
  • Every proxy can be revoked by the property owner.
  • Election of the Board of Directors is by secret written ballot. 
  • The candidates receiving the largest number of votes are elected. 
  • The board consists of five directors, each elected for three years: two elected one year, two elected the next year, and one elected the following year. Following any resignation or vacancy, the director’s successor is to be chosen by the remaining members of the board and serves for the unexpired term of the predecessor.
