Qualifications

A team player with an interest in Social Justice with the willingness to:

  • Commit time for regular Board meetings, committee meetings and planning sessions

  • Volunteer at special events, as required

  • Engage in critical thought and be committed to a vibrant future for the organization

  • Prepare well for meetings, reviewing and commenting on minutes and reports

  • Listen well and be thoughtful in considering issues

  • Get to know other directors and build a congenial working relationship that contributes to consensus

  • Actively participate in the board’s annual strategic planning

  • Understand the fiscal implications of decisions

Responsibilities
  • Provide strategic leadership

  • Be knowledgeable about the organization’s values, mission, programs and performance

  • Be an ambassador for the organization and promote its work in the community

  • Ensure the organization’s financial viability and sustainability

  • Develop policy frameworks

  • Employ and evaluate the performance of the Executive Director

  • Participate in fundraising efforts

To carry out these responsibilities, the Board meets monthly throughout the year. In addition to attendance at Board meetings, you may be required to participate on committees and at special events and fundraisers.

The Board is comprised of up to 11 members with a three year term and are staggered so that no more than half of the Directors are being replaced or re-elected in any given year. Members may serve a maximum of two consecutive 3 year terms.

Board Meeting Expectations

We value the knowledge and experience of each Board Member.

  • Listen when others speak – seek first to understand

  • Respect each other

  • No cell phone use / laptops during board meetings unless needed for the meeting

  • Everyone is encouraged to participate equally; silence is consent


We respect the time of Board Members and staff.

  • Agenda provided in advance

  • Start and end on time

  • Meetings are productive

  • There is a facilitator and timekeeper at each meeting

  • When a Board Member arrives to a meeting late, we do not spend time revisiting information shared or decisions already made.  

  • We attend board meetings (see commitment in board expectations doc.)

  • When a Board Member can’t attend a board meeting, the Member is to inform the Board President or ED in advance via email.

  • Board conversations are grounded in the mission and goals of the organization. 

  • Conversations focus on high level strategy.


We empower the staff to do their jobs. 

  • There is a clear delineation between staff and Board responsibilities.


We are forward thinking and action oriented. 

  • Action items are identified and resolved. 

  • Once a decision has been made by the Board, it can only be revisited after it has been placed on a future meeting agenda. 

  • We are aware of what is coming in future months and how our present work fits into the bigger picture.


We are organized and effective. 

  • Board meeting agendas, meeting notes, ED and staff updates, and committee updates are shared with Board Members in advance of meetings via email.

  • We limit the amount of meeting time spent on staff and committees reporting out.  Updates are shared in advance via email.  Board meeting time is spent on questions related to updates and action items for the Board.

  • Meeting notes are taken and available to Board Members.

  • Board members come to meetings prepared.
