NDA Description

WHEREAS, Shallah Jones is producing a an intellectual property, book, entitled Donovan: Soul-Detective Superstar (hereinafter referred to as the “Project”), this agreement is made this fifth day of June, 2022 , by and between the Company and you (hereinafter referred to as the “Recipient”).

1.   All information disclosed by the Shallah Jones and/or those individuals or organizations working in collaboration with the Shallah Jones, written, electronic or oral, that relates or refers directly or indirectly, to the Project including the script itself, shall hereafter and forever be deemed confidential and shall constitute Confidential Information.

2.      The Confidential Information shall remain the property of the Shallah Jones and shall not be disclosed or revealed to anyone except to the Shallah Jones, its agents, licensees, successors and assigns. The Recipient shall be responsible for any improper disclosure of Confidential Information.

3.      This agreement in no way guarantees, or suggests, that the Recipient will be employed, or compensated for time or expenses as it pertains to the development and evaluation of the Project. Should the Shallah Jones resolve to employ the above noted, other contractual instruments may be applied.

4.      Waiver. To the greatest extent permitted by, but not in contravention of, applicable law, the undersigned hereby overtly, fully, permanently, irrevocably and unconditionally waives, abandons, and surrenders all of the undersigned 's Copyright and Related Rights and associated claims and causes of action, whether now known or unknown (including existing as well as future claims and causes of action), in the Project (i) in all territories worldwide, (ii) for the maximum duration provided by applicable law or treaty (including future time extensions), (iii) in any current or future medium and for any number of copies, and (iv) for any purpose whatsoever, including without limitation commercial, advertising or promotional purposes (the "Waiver"). The undersigned makes the Waiver for the benefit of Shallah Jones and to the detriment of the undersigned 's heirs and successors, fully intending that such Waiver shall not be subject to revocation, rescission, cancellation, termination, or any other legal or equitable action. Should any part of the Waiver for any reason be judged legally invalid or ineffective under applicable law, then the Waiver shall be preserved to the maximum extent permitted taking into account the undersigned’s expressed consent.

5.      If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.
