ANNEX 1: GENERAL TERMS AND CONDITIONS                                                                                                                                                                            1. The Participants agree not to use in any press release, memo, report or other published disclosure related to the Global Soil Partnership any of the other parties' name and logo without prior written agreement by the party concerned;                                 2. Intellectual property rights, in particular copyright of material to be used to carry out the activities under the Global Soil Partnership shall remain with the originating party unless separately negotiated and agreed;                                                                     3. Nothing in the Global Soil Partnership or in any document or arrangement relating thereto, shall be construed as constituting a waiver of privileges or immunities of FAO, nor as conferring any privileges or immunities of FAO to the other party or to its personnel;                                                                                                                                                                                                        4. Being a Participant to the Global Soil Partnership does not constitute a formal partnership with the Food and Agriculture Organization of the United Nations (FAO); does not allow [name of organization] to represent the Organization under any circumstance. Neither does it imply that [name of organization] may claim to have an advantage position to influence the decisions to be taken in the framework of the Global Soil Partnership work;                                                                                                                                          5. Neither FAO nor any employee, subcontractor, agent or assignee of FAO shall be liable for any direct, indirect, incidental, special, or consequential damages of any kind whatsoever (including, without limitation, attorneys' fees and lost profits or savings) in any way due to, resulting from, or arising in connection with the participation in the Global Soil Partnership;                            6. Any agreement and any document or arrangement relating to the Global Soil Partnership shall be governed by general principles of law to the exclusion of any single national system of law;                                                                                                                  7. Any dispute between any of the Parties arising out of the interpretation or execution of the Global Soil Partnership shall be settled by negotiations and mutual agreement. If the parties are unable to reach an agreement on any question in the dispute or on a mode of settlement other than arbitration, either party shall have the right to request arbitration in accordance with the Arbitration Rules of the United Nations Commission on International Trade Law (UNCITRAL) as at present in force. FAO and the applicant agree to be bound by any arbitration award rendered in accordance with this article.
