The recent high profile of unprecedented corporate scandals/risk management failures have put the corporate governance regimes back under the spotlight. As the current business climate is increasingly uncertain, and therefore the less you know, the greater the risk. But simply putting in place the hard controls do not have all the answers. In this respect, this seminar aims on the one hand to highlight the impact that ineffective risk governance has on a company, and on the other hand to bring to light the essential aspects of soft controls with respect to people risk management and culture. The brief outline of the seminar is depicted as follows: 1. What are the rationale behind corporate governance failures? Why should you care? Diagnosing corporate scandal/ risk governance failures from a study of prominent cases.2. Is there a one size-fits-all-approach to risk governance amidst the changing face of risk management? How does your organization’s risk governance measure up? Discuss this from the COSO model and the Three-lines-of defence Model.3. What you need to know about good corporate governance embedded in a risk-intelligent organization to be able to sustain and stay competitive and achieve goal congruence? 4. How do you mitigate fraud risk and people risk? Why there is no silver bullet to guarantee a foolproof risk mitigation? What are the opportunity and challenges to TCWG from the emergent corporate scandals/risk management failures? Are your organization doing enough to build an ethical culture from people risk management perspective?5. Discuss the salient aspects of building a risk intelligent organization with a focus on ethical leadership/tone at the top, cultivating corporate culture, and good people management concepts and practices.

Norman Cheng is a Chartered Professional Accountant by training. With over 30 years of auditing and accounting experiences gained in a multi-national environment, his past exposures encompassed working with diversified investment holdings and conglomerates like Jardine Matheson Group, Hutchison Whampoa Group as Audit Controller, Citylink Design and Build Ltd as Financial Controller, and non-profit making and public sector organizations like the Hospital Authority, in a position of responsibility to make a contribution in key aspects of risk management, corporate governance and internal control within the organization. Norman is past President of CGA Canada (HK Affiliate) from 2008 to 2010. He is currently an Honorary Auditor of the Public Hospital Administrators’ Association registered with the Labour Department. Additionally, he had been serving on the Board Audit Committee of Chinese YMCA of Hong Kong for more than ten years since 1995. He had been employed as a part-time Lecturer with the Lingnan University of Hong Kong teaching Accounting Theory, Forensic accounting & Fraud Examinations on a Master of Accountancy programme (2012-2015). His keen interest and exposure in internal audit makes him a sought-after presenter on risk management and risk governance, and he had authored many feature articles in the CGA-HK Newsletter on many aspects of risk and internal audit governance.

Florence’s teaching expertise covers Human Resource Management, Management, Organisational Behaviour, Learning & Development, and Entrepreneurship and Family Business.
As a Senior Research Fellow with the Public Policy Institute and Institute for Entrepreneurship, Hong Kong Polytechnic University, Florence has been involved in numerous public policy research studies and consultancy projects. In addition, Florence also serves as an Honorary Project Director with the Center for Family Business under the Asia-Pacific Institute of Business of the Chinese University of Hong Kong. She has given presentations in numerous international and regional conferences. Her recent research focus is on entrepreneurship, family business, corporate governance, continuing education, lifelong learning, health care services, and student engagement. Florence has extensive corporate experience, having worked in both public and private sectors. She is specialized in strategic human resource management, learning and development, and organization development. She has conducted leadership development programs for senior executives from multinational corporations and privately-owned enterprises, and officials from State-owned enterprises, PRC. Florence is also a trained executive coach and action learning coach.
