South West Fed - Special Resolution (Circulation date: 00:00 23 April 2019, lapse date: 00:00 22 May 2019)
Under Chapter 2 of Part 13 of the Companies Act 2006, the director trustees of the South Western Federation of Museums and Art Galleries (South West Fed) propose that the following resolution is passed as a special resolution (Resolution).

SPECIAL RESOLUTION
THAT the draft Articles of Association accompanying this Resolution be adopted as the Articles of Association of the South West Fed in substitution for and to the exclusion of the South West Fed’s existing Articles of Association.

Explanatory Wording
By way of the above Resolution, the South West Fed is proposing to amend its Articles of Association in order to bring its constitution up to date with:
• its current working practices; and
• the latest Charity Commission model articles (available here: https://assets.publishing.service.gov.uk/government/uploads/system/uploads/attachment_data/file/586363/GD1_articles_of_association.pdf).

Copies of the South West Fed’s existing and proposed new Articles of Association are available on our website using the links above and for inspection during normal business hours (excluding Saturdays, Sundays and bank holidays) at the South West Fed’s registered office from the circulation date of this Resolution until its lapse date. The South West Fed’s registered office is: 5 Moccasin Way, Street, Somerset BA16 0GS.

Please email the South West Fed’s company secretary at info@swfed.org.uk with the subject header “SOUTH WEST FED NEW ARTICLES” should you have any queries or require further information.

NOTES
1. If you agree with the Resolution, please indicate your agreement as follows:
a) if you are agreeing as an individual member: please insert your full name, membership number and the date in the relevant boxes above; or
b) if you are agreeing as an authorised representative for and on behalf of an institutional member: please insert your full name name, the institution’s membership number and the date in the relevant boxes above.

Once you have indicated your agreement to the Resolution, you may not revoke your agreement. Only one vote may be made per member (whether Individual or Institutional). You may not return your agreement to the Resolution by any other method.

If you do not agree with the Resolution, you do not need to do anything. You will not be deemed to agree if you fail to reply.

Unless by midnight 22 May 2019 sufficient agreement is received for the Resolution to pass, it will lapse. If you agree to the Resolution, please ensure that your agreement reaches us on or before this date.
