This document serves to outline the essential aspects of website maintenance and upkeep for your understanding. It is paramount to note that owning and operating any website involves regular updates, security measures, and compatibility checks for smooth operation and user safety. Other elements like hosting, domain fees, email services, and SSL Certificate fees are additional responsibilities that are critical to your website's functionality.


The information provided herein does not constitute an agreement for services or pricing. Those details will be discussed and arranged separately. By signing this document, you, as the Client, acknowledge that you have received and understood the information provided. Please read the following points carefully:

1. Importance of Regular Website Maintenance:

Regular maintenance, including updates and security measures, is crucial for the smooth and safe operation of the Client's WordPress website (the "Website"). WordPress and its associated plugins often release updates several times a month to improve functionality, fix bugs, and patch security vulnerabilities.


However, it is essential to verify the compatibility of these updates with the existing configuration of the Website, particularly the installed plugins. Incompatible updates can cause the Website to behave unexpectedly or even crash.


Without regular maintenance, the Website may face issues such as diminished functionality, security breaches, incompatibility with new web standards, and a degraded user experience. Hence, frequent updates, coupled with compatibility checks, are vital to ensuring the Website's optimal performance and security.


2. Hosting, Domain, and SSL Certificate Fees:

Hosting, domain, and SSL Certificate fees are separate from the Provider's maintenance services.


Hosting involves the server space where the Website files reside.


The domain is the Website's address on the internet.


An SSL Certificate provides a layer of security that encrypts data as it moves between the Website and the user, enhancing user trust and search engine ranking.


It is the Client's responsibility to pay these fees and keep them up-to-date. Non-renewal can lead to the Website going offline, loss of the domain name, or the Website being flagged as insecure by web browsers, potentially deterring visitors. These services are crucial for the Website's smooth operation and credibility.


3. WordPress and its Constant Evolution:

The Client acknowledges that WordPress, the platform on which the Website is built, updates frequently. These updates often change the appearance and functionality of the WordPress backend.


Without regular updates, the Website may encounter compatibility issues, resulting in loss of functionality, impaired user experience, or in worst-case scenarios, complete operational failure of the Website. The risk is particularly high if the Website collects and stores user data, as outdated security measures can leave this sensitive information vulnerable to cyber-attacks, potentially leading to data breaches. Such breaches can lead to legal repercussions, damage to the company's reputation, and loss of customer trust.


This highlights the importance of consistent updates and maintenance to ensure the Website's security, functionality, and compliance with data protection standards.


4. Monthly Service Agreement:

The Provider offers a range of monthly service agreements starting at $299 per month, with the cost increasing based on the Client's specific needs. These agreements ensure regular maintenance, updates, and security measures for the Website. For clients without a monthly service agreement, the standard hourly rate of $100 applies. It is important to note that certain services, such as reinstalling backups and security updates, can take several hours. In some cases, repairing a compromised or hacked website can take between 10 and 20 hours. Immediate response services are exclusively reserved for clients on a monthly retainer. Clients without a retainer agreement will be scheduled based on the Provider's availability.

5. Scope of Services:

Gizoom Marketing and its affiliates operate as graphic and website developers, consultants, and business coaching firms. We offer a range of services to support the functionality and success of your website, all of which are performed for a fee.


However, it's crucial to understand that we do not provide educational services on WordPress, Elementor, CSS, or any other programming or web development platforms. If you need to learn or understand these systems and languages, we advise seeking formal training or education from a dedicated learning institution or online learning platform.


Our primary focus is on delivering high-quality development, consulting, and coaching services, not on providing instruction in these areas. We are here to apply our expertise in these fields to your benefit, but it is not within our scope to transfer this knowledge to clients.

6. Responsibility and Liability:

The Provider assumes no responsibility for any failure, security breach, data loss, or other issues that might occur to the Website. If the Provider maintains the Website, it commits to handling necessary repairs and updates, provided that the Client is current with all payments for the Provider's services and outside providers services such as website hosting, SSL certificate, Email services and domain fees. Failure to stay up-to-date with these payments may lead to service interruption and potential issues, for which the Provider cannot be held responsible.


The Client agrees to indemnify and hold the Provider, its employees, and affiliates harmless from and against all liabilities, damages, and costs arising out of a third-party claim regarding the Client's use of the services or breach of this Agreement.

7. Communication and Service Requests:

All support inquiries and service requests related to websites should be made via our website, www.gizoom.com. Please navigate to the top right-hand corner of the webpage and click on 'Support' to submit your request.


Kindly note that we are unable to respond to service requests sent via text message or to individual emails such as paul@gizoom.com or production@gizoom.com.


Requests received will typically be addressed on the next business day. However, for our monthly premier clients, we prioritize your requests and will respond as swiftly as possible to rectify any issues. 

8. Dispute Resolution:

Any disputes arising out of this Agreement shall first be resolved by negotiation between both parties. If not resolved within 30 days, the dispute shall be settled by arbitration in accordance with the rules of the American Arbitration Association.

Acknowledgment and Confirmation:

Submitting this form will serve as your digital signature, indicating your understanding and agreement to the points laid out in this document. Upon receipt of this signed acknowledgment, Gizoom Marketing will send a confirmation of receipt along with the necessary administrator login details for your website.
