In consideration for the right to submit footage in connection with the NFL’s Way to Play High School Award to be considered for an award, on behalf of myself, and anyone (including minors) on whose behalf I am submitting footage in connection with the NFL’s Way to Play High School Award (whose authority and consent to enter into this agreement I hereby represent I have, or have secured):

I hearby grant the National Football League, each of its member football clubs, NFL Ventures, Inc., NFL Ventures, L.P., each of their respective parents, direct and indirect subsidiaries, affiliates, successors and assigns, and each of their respective shareholders, members, partners, officers, directors, employees, agents and representatives, the NFL's sponsors, licensees, and commercial and event sponsors conducting or sponsoring participatory/interactive activities, sampling or other similar games, events or activities at or in connection with the NFL's Way to Play High School Award (collectively, the "NFL Entities"), and the successors and assigns of the NFL Entities (together with the NFL Entities, the "Authorized Entities"), a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, fully sublicensable and transferrable right, but not the obligation, to sublicense, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, transmit, display, and otherwise use the footage I submit, as well as my, and the person's on whose behalf I am submitting the footage, name, image likeness, voice, actions, statements, biographical information, and any other personal information relating to me or such person(s) (collectively, the "Materials") in connection with any marketing and promotion of the National Football League, The NFL's Way to Play High School Award, and/or otherwise in connection with the businesses, products or services offered by the Authorized Entities and in the exhibition, distribution advertising, transmission, reproduction and/or other explotation thereor, in whole or in part, by any means now known or hereafter devised (collectively, the "Authorized Use(s)"). I agree that Authorized Use(s) includes, but is not limited to, circulating the same in any media, format or technology, whether now known or hereafter discovered, and in any manner including, but not limited to, all promotional advertising, marketing, publicity, and commercial uses and ancillary uses thereof, including on the websites and other media and social media platforms of the Authorized Entities without any further notice to or permission from Company or compensation, and waives all claims and potential claims relating to such use unless prohibited by law. The rights granted by me hereunder are granted for the entire universe in perpetuity. Nothing contained herein shall be deemed to obligate the Authorized Entities to make any use of the Materials and/or the rights granted herein. I hereby waive all rights of inspection or approval of any materials that may be used in conjunction with the Authorized Use(s).

I represent and warrant that I have all necessary right, power, and authority to enter into this Agreement, and to deliver and submit the footage in connection with the Way to Play High School Award, and that the Authorized Parties’ use of the footage as contemplated herein will not infringe any third party copyright.

GOVERNING LAW AND SEVERABILITY: This Agreement shall be governed by and construed in accordance with the laws of the State of New York without regard to conflict of law principles. You understand that this Agreement, and the releases, waivers, commitments, and covenants therein, are intended to be as broad and inclusive as permitted by the laws of the State of New York and agree that if any provision of this Agreement is deemed invalid, the remainder of this Agreement will continue in full legal force and effect.
