Responsible Dog Owner Day Vendor Contract
SATURDAY SEPT 8, 2018 from 10 am to 3 pm at Herrmann Park in Belle Fourche, SD. (Setup begins at 7 am, all vendors must be setup and ready to open by 9:30 am. This allows us to close off the entrance and put our Welcome Tent in Place. Tear down may start at 3 pm)

To help promote you, your business is mentioned on our website with link back to your website or social media page; you will also be included in our Facebook Event Page before the event. Hobo’s Healing Heart also encourages vendors to post about their products or services in the Responsible Dog Owner Day event on Facebook and share our Facebook Event on your Facebook page.

Hobo’s Healing Heart provides a 10 foot by 10 foot reserved space only. NO tables, chairs, or tents are provided. You must bring your own equipment. Electric is reserved for food vendors. Cost is $35 per booth space.

Vendor Booth: Event Management reserves the right to determine the acceptance of any company or product for inclusion in vendor space at its sole discretion. Lotteries, drawings, guessing games or prize contests of any kind sponsored by individual Vendors are subject to Event Management approval. Display material must be confined to the individual Vendor’s assigned booth space. No placard, stickers, or other signs related to non-paid exhibiting firms will be allowed in the individual booths or anywhere at Herman Park. No amplifiers or loudspeakers may be operated in the assigned Vendor’s booth. Vendors have the right to distribute brochures and other printed matter, only from the both space occupied by them and no other way. The Vendor agrees that its exhibit shall be admitted solely on strict compliance with these “Rules and Regulations” and any other rules communicated by Event Management to the Vendor. Event Management reserves the right to reject, eject or prohibit in whole or part, the Vendor or their representative, with or without giving cause. If the Vendor if ejected by Event Management, there shall be no return of any amount paid by the Vendor. *

Food Sales: Food vendors must include a copy of the South Dakota State Health Department License – this includes those wanting to sell baked goods. *

Not for Profits: Nonprofit organizations must be a 501(c)3 nonprofit to participate in the event or have filed. Nonprofits cannot host drawings, donations jars, guessing games, lotteries, prize contests of any kind, raffles, silent auctions or the like at your booth at any time during the event. You may, however, sell items or merchandise to raise money for your mission. *

Insurance: Hobo’s Healing Heart has a general liability insurance policy to cover Hobo’s Healing Heart during the Responsible Dog Owner Day Event. This policy, however, does not cover vendors. Each vendor is strongly encouraged to purchase its own insurance coverage sufficient to insure against any possible liability. Liability certificates may be obtained as an insurance rider through your current insurance provider. If you do not have an insurance provider, please visit http://www.actinspro.com – this website is very helpful for event-day liability insurance. *
Sub-letting: No Vendor shall assign or sublet the whole or part of the space allotted, or booth therein, to any programs or services other than those specified in the contract for booth space. Only one company per booth is permitted. *

Sales: Merchandise sales must comply with all local, state, and federal laws and regulations. The sale of pets of any kind is NOT permitted. *

Limitation of Liability All Business partner (Vendors, Sponsors, and Silent Auction and Goodie Bag donators): agree to hold Hobo’s Healing Heart, the City of Belle Fourche Parks and Recreation, Butte County Government, City of Belle Fourche Special Event Facilities, and its agents associated with Responsible Dog Owner Day, harmless and blameless and will make no claim of any reason whatsoever, including negligence, against Event Management, its officers, agents, employees, or the lessors or owners of the Facility for loss, theft, damage or destruction of property, nor for any injury to it or its employees, agents or invites while in the park. *

Equipment: The Vendor may have a 10 x 10 ft., square canopy. Electricity will not be provided by Event Management, except for Food Vendors. **Chairs and tables are the Vendor’s responsibility.** *

Care and Staffing of Booths: The Vendor will be responsible for its own loading, unloading, booth set-up and clean-up of its area. Available Hobo’s Healing Heart volunteers may assist in setting up and taking down the canopies and tables. Vendors MAY bring vehicles into the park to unload merchandise IF the ground is dry enough otherwise, they MUST unload from their vehicles in the street or parking lot and walk everything into the park. ***The Vendor agrees to have its booth staffed and open for business by 9:45 am and will not start tearing down until 3:00pm*** *

Waste Disposal: The Vendor is responsible for the removal of all trash. This includes breaking down cardboard boxes. A trash can is provided at the parking lot near the public restrooms. *

Compliance with Laws: Vendors shall not engage in any display, publication, performance, or any other activity which is in conflict with any applicable law, regulation, rule or ordinance, nor shall vendor, or its representatives or employees, engage in any lewd display, publication or performance. Vendor will be responsible for obtaining all necessary governmental permits and licenses. Vendor shall comply with all rules promulgated by the City of Belle Fourche Parks and Recreation. Personal dogs in Vendor booth must be at least one year old, up-to-date on all vaccinations and on a leash – NO retractable leashes or leashes longer than 6 ft. *

No attendance guarantee: Hobo’s Healing Heart does not guarantee specific volumes or level of attendance at the Event. Vendor shall not be entitles to any refund, in full or in part, of any amounts paid based on actual attendance level *

Cancelling Exhibit Space: Event Management will refund half of the vendor fees if cancellation is received 30 days prior to the event. Cancellation after August 9th will not be eligible for a refund. *

Use of Vendor Booth: The Event Management may, at its discretion at any time, use photographs, videos, logos and testimonials of any vendor for its own public use. *

Impossibility: The performance of this Agreement is subject to termination without liability upon the occurrence of any circumstances beyond the control of either party – such as acts of God, war, government regulations, disaster, strikes (except those involving the employees or agents of the party seeking the protection of this clause), civil disorder, or curtailment of transpiration facilities – to the extent that such circumstances males it illegal or impossible to provide or use the Park facility. The ability to terminate the Agreement without liability pursuant to this paragraph is conditioned upon delivery of written notice to the other party setting forth the basis for such termination as soon as reasonable practical – but in no event longer than ten (10) days – after learning of such basis. *

Amendment to Rules: Any and all matters or questions not specifically covered by the preceding Rules and Regulations shall be decided solely by the Event Management without notice and all amendments so made shall be binding on the business partner. *

Attorney’s Fees/Costs: In the event of the use of an attorney by Event Management to enforce any part of this Contract, all costs, including reasonable attorney’s fees, will be paid by the Business Partner. *

Entire Contract: This instrument contains the entire Contract between the parties relating to the subject matter hereof. The parties have made no contracts, representations or warranties, relating to the subject matter here of which are not set forth herein. Failure to enforce any provision hereof by Event Management shall be deemed as a waiver with respect to such provision after demand by Event Management for the strict performance of this agreement. No modification to this Contract shall be valid unless made in writing and signed by the parties hereto. *

Acceptance: This document shall not constitute a contract between the parties until acceptance by the Event Management.
