IMPORTANT - READ THIS CAREFULLY BEFORE CONTRIBUTING ANY MATERIALS TO THIS PROJECT.

THIS IS A LEGAL AGREEMENT BETWEEN STREAM.IO, INC. (“STREAM.IO,” “WE,” OR “US”) AND YOU AND/OR THE BUSINESS ENTITY FOR WHOM YOU (“YOU”) ARE ACTING AS THE CONTRIBUTOR OF THE CONTRIBUTIONS (DEFINED BELOW) RELATED TO THE PROJECT INTO WHICH THIS AGREEMENT HAS BEEN INCLUDED (“AGREEMENT”).

This Agreement applies to all Contributions to any project owned or managed by Us (“Project”) and sets out the Intellectual Property Rights (defined below) that You grant to Us in such Contributions. You hereby agree as follows:

“Contributions” means any software (in either source code or executable code form), patch, bug fixes, configuration changes, documentation, tool, sample, graphic, specification, manual, or any other material posted or submitted by You to a Project. “Intellectual Property Rights” means all past, present, and future rights of the following types, which may exist or be created under the laws of any jurisdiction in the world: (a) rights associated with works of authorship, including exclusive exploitation rights, copyrights, and moral rights; (b) trademark and trade name rights and similar rights; (c) trade secret rights; (d) patent and industrial property rights; (e) other proprietary rights in intellectual property of every kind and nature; and (f) rights in or relating to registrations, renewals, extensions, combinations, divisions, and reissues of, and applications for, any of the rights referred to in clauses (a) through (e) of this sentence.

You agree that all Contributions will be the sole and exclusive property of Stream.io. You hereby irrevocably and unconditionally assign to Stream.io all right, title, and interest worldwide in and to the Contributions and all Intellectual Property Rights thereto.

If any Intellectual Property Rights, including moral rights, in the Contributions cannot (as a matter of law) be assigned by You to Us as provided above, then (a) You unconditionally and irrevocably waives the enforcement of such rights and all claims and causes of action of any kind against Us with respect to such rights, and (b) to the extent You cannot (as a matter of law) make such waiver, You unconditionally grants to Stream.io an exclusive, perpetual, irrevocable, worldwide, fully-paid license, with the right to sublicense through multiple levels of sublicensees, under any and all such rights (i) to reproduce, create derivative works of, distribute, publicly perform, publicly display, digitally transmit, and otherwise use the Contributions in any medium or format, whether now known or hereafter discovered, (ii) to use, make, have made, sell, offer to sell, import, and otherwise exploit any product or service based on, embodying, incorporating, or derived from the Contributions, and (iii) to exercise any and all other present or future rights in the Contributions.

The rights that You grant to Us under this Agreement are effective on the date You first submitted a Contribution to Us, even if Your submission took place before the date You agree to these terms (“Effective Date”). You understand and agree that You have no right to use the Contributions upon assignment to Us.

You represent, warrant, and covenant that:
 
    • each Contribution it is an original work and that You can legally grant the rights set out in this Agreement;
    • each Contribution does not, to the best of Your knowledge, violate any third party's Intellectual Property Rights;
    • You are not legally obligated, whether by entering into an agreement or otherwise, in any way that conflicts with the
    terms of this Agreement. For example, if You have signed an agreement requiring You to assign the Intellectual Property
    • Rights in the Contributions to an employer or customer, that would conflict with the terms of this Agreement; and
    You are authorized to sign this contract on behalf of Your company (if identified below).

Stream.io determines what Contributions will be in included in a Project. You understand that the decision to include Contributions in any Project or source repository is entirely that of Stream.io, and this Agreement does not guarantee that any Contributions will be included in any Project or any product or service of Stream.io.

These terms will be governed by the laws of the State of Colorado and applicable U.S. Federal law. Any choice of law rules will not apply.
