These Chainlink Data Streams Terms of Service, together with any documents and additional terms they incorporate by reference (collectively, the "Terms"), are entered into between Chainlink Labs Inc. or any of its current or future subsidiaries, affiliates, successors, or assigns (collectively, "Chainlink Labs", "we", "us", or "our") and you or the company or other legal entity that you represent ("you" or "your").
By clicking "Accept", you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept these Terms, you are not authorized to use Chainlink Data Streams for any purpose.
You further acknowledge that you have read and understand our Privacy Policy.
Any services, resources, or information provided by Chainlink Labs in relation to Chainlink Data Streams shall be subject to the Chainlink Labs Terms of Service, as amended from time to time (the "Chainlink Labs Terms of Service"), which are hereby incorporated by reference. For clarity, references to "Services" in the Chainlink Labs Terms of Service include Chainlink Data Streams.
In connection with your use of the Chainlink Network related to Chainlink Data Streams, you also agree to comply with the Chainlink Foundation Terms of Service, as amended from time to time (the "Chainlink Foundation Terms of Service"), which are hereby incorporated by reference. Because Chainlink Data Streams requires access to the Chainlink Network, your use of Chainlink Data Streams necessarily constitutes use of the "Services" governed by the Chainlink Foundation Terms of Service. You acknowledge that you have reviewed, understand, and agree to be bound by the Chainlink Foundation Terms of Service (as between you and the Chainlink Foundation) in addition to these Terms.
These Terms (together with the Chainlink Labs Terms of Service, with respect to our provision of Chainlink Data Streams, and the Chainlink Foundation Terms of Service, with respect to your use of the Chainlink Network) sets forth the entire agreement and understanding of the parties relating to the subject matter herein and supersedes all prior or contemporaneous discussions, understandings and agreements, whether oral or written. If there is a conflict between these Terms and any other agreement you may have with us, these Terms will control with respect to your access or use of Chainlink Data Streams, unless the other agreement specifically identifies these Terms and declares that the other agreement supersedes these Terms.
1. Chainlink Data StreamsChainlink Data Streams are low-latency, pull-based oracle data feeds that enable a user to retrieve certain off-chain data reports and use them on-chain, supported by an on-chain verification process that cryptographically attests to the authenticity and integrity of each off-chain report ("Chainlink Data Streams").
2. Access to Chainlink Data StreamsSubject to your acceptance of these Terms, during the Term, your access to Chainlink Data Streams will be provided via an API access key (the "Services"). We reserve the right to disable your access to Chainlink Data Streams at any time, including if we, in our sole discretion, believe that you, at any time, fail to comply with these Terms (including the Data Use Restrictions herein), or the representations and warranties set forth in the Chainlink Labs Terms of Service or Chainlink Foundation Terms of Service. Further, we reserve the right to limit or restrict access to Chainlink Data Streams by any person or entity, or within any geographic area or legal jurisdiction, at any time and in our sole discretion. WE WILL NOT BE LIABLE TO YOU FOR ANY LOSSES OR DAMAGES YOU MAY SUFFER AS A RESULT OF OR IN CONNECTION WITH CHAINLINK DATA STREAMS BEING INACCESSIBLE TO YOU AT ANY TIME OR FOR ANY REASON.
3. Scope and PurposeDuring the Term, we will provide you with access to one or more Chainlink Data Streams feeds that are made available and configured from time to time for use in connection with the Purpose (as defined below).
The Chainlink Data Streams feeds may reference and incorporate specific Chainlink reports and data (collectively, "Data"), which Data may be obtained via data feeds, APIs and various off-chain capabilities via the Chainlink Network. You agree to provide additional specifications as reasonably needed by us for the provision of the Services. We reserve the right to terminate, modify, adjust, alter or revise the Services in our sole discretion.
You acknowledge and agree that you are being provided access to the Services in order to receive the Data solely for the purpose of supporting your participation in Polymarket on-chain markets, including the execution of on-chain trades on Polymarket based on such Data (the "Purpose"). You must not use the Data or the Services for any other purpose. The Data and our Services do not include any redistribution or similar rights.
4. Data Use RestrictionsYou agree not to:
reverse engineer, decompile, disassemble, or otherwise attempt to discern the source code, underlying ideas, algorithms, file formats, or interface protocols of the Data, or of any files contained in or generated by the Data;copy, modify, adapt or translate the Data, or otherwise make any use of the Data (other than for the Purpose), or resell, distribute or sublicense the Data;redistribute the Data for any purpose other than the Purpose;use the Data in violation of applicable law;access or use the Data for benchmarking or similar competitive analysis purposes, for publishing or otherwise making available to the public any analysis of the Data, or for the purpose of building a competitive product or service;modify, translate or create derivative works based on the Data; andscrape, extract, or otherwise use the Data other than for the Purpose.5. Prohibited ActivityYou further agree not to engage in, or attempt to engage in, any of the following categories of prohibited activity in relation to your access or use of Chainlink Data Streams:
Activity that breaches these Terms.Activity that seeks to interfere with or compromise the integrity, security, or proper functioning of any computer, server, network, personal device, or other information technology system, including, but not limited to, the deployment of viruses and denial of service attacks.Activity that seeks to fork, modify, alter, reverse engineer, or interfere with the code comprising Chainlink Data Streams in any way.Activity that seeks to defraud us or any other person or entity, including, but not limited to, providing any false, inaccurate, or misleading information in order to unlawfully obtain the property of another.Activity that is illegal or otherwise violates any applicable domestic or foreign law, rule, statute, regulation, by-law, order, protocol, code, decree or other directive, requirement or guideline, published or in force which applies to or is otherwise intended to govern or regulate any person, property, transaction, activity, event or other matter, including any rule, order, judgment, directive or other requirement or guideline issued by any domestic or foreign federal, provincial or state, municipal, local or other governmental, regulatory, judicial or administrative authority having competent jurisdiction over us, you or Chainlink Data Streams, or as otherwise duly enacted, enforceable by law or equity.Activity that disguises or interferes in any way with the IP address of the computer you are using to access or use Chainlink Data Streams or that otherwise prevents us from correctly identifying the IP address of the computer you are using to access Chainlink Data Streams.Activity that transmits, exchanges, or is otherwise supported by the direct or indirect proceeds of criminal or fraudulent activity.Activity that contributes to or facilitates any of the foregoing activities.6. TermThese Terms begin when you click "Accept" and will remain in effect until such time when your access to Chainlink Data Streams has been terminated and your API credentials have been revoked (the "Term"). Notwithstanding anything to the contrary, in the event of a breach of these Terms (including the Data Use Restrictions contained herein), or if otherwise required by applicable law or a third-party data provider, we reserve the right to immediately terminate these Terms and revoke your access to Chainlink Data Streams at any time. We will not be liable for any losses resulting from any such termination.
7. FeesYou acknowledge and agree that your access to Chainlink Data Streams and the Services will only be offered free of charge during the Term. You further acknowledge and agree that you will be responsible for any applicable on-chain gas costs associated with your use of Chainlink Data Streams.
8. IndemnificationYou will defend, indemnify, and hold harmless Chainlink Labs, its affiliates, and their respective directors, officers, employees, agents, representatives, licensors, and contractors (collectively, the "Protected Parties") from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Services or Data; (b) your breach of these Terms (including the Data Use Restrictions contained herein) or any applicable law; or (c) any claim that your conduct infringes or misappropriates any third-party right. We (or any Protected Party) shall have the right, at our discretion, to control the defense or settlement of any claim subject to indemnification hereunder.
9. DisclaimersTo the maximum extent permitted under applicable law, the Services and Data are provided by us or on our behalf on an "AS IS" and "AS AVAILABLE" basis, and we expressly disclaim, and you hereby waive, any representations, conditions or warranties of any kind, whether express or implied, legal, statutory or otherwise, or arising from statute, otherwise in law, course of dealing, or usage of trade, including, without limitation, the implied or legal warranties and conditions of merchantability, merchantable quality, quality or fitness for a particular purpose, title, security, availability, reliability, accuracy, quiet enjoyment and non-infringement of third party rights.
Without limiting the foregoing, we do not represent or warrant that the Services and Data (including any related data used in connection therein) will be uninterrupted, available at any particular time or error-free. You are solely responsible for determining and complying with all legal and regulatory restrictions and requirements that may govern your use of the Services and Data, and the Chainlink Network.
10. Limitation of LiabilityTo the fullest extent permitted by law, in no event will we (or any Protected Party) be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or related to these Terms, the Services, or the Data, even if advised of the possibility of such damages. In no event shall our liability (including our Protected Parties' liability) exceed one hundred U.S. dollars (US$100).
11. MiscellaneousYou agree that these Terms and the fact of its existence is confidential and shall not be disclosed to any third party, other than your representatives under a duty of confidentiality. Neither party may use the name or logo of the other party on its website without such party's prior written consent.
