Failure to comply with the following terms may result in the termination of privileges:

1. A one time fee of $300 is required for all food vendors. (Fee does not include processing fee)

2. In keeping with the theme of the event, the vendors are asked to have a fish and grits option for festival goers and to consider participating in the Fish and Grits taste testing competition.

3. This is a rain or shine event. In the event of inclement weather, the Lowcountry Fish and Grits Festival is not responsible for damaged goods.

4. Vendors may only sell their food products and merchandise within their vendor space.

4b. Vendors are prohibited from selling beverages.

5. All vendors are responsible for their own materials, neat display and should come prepared with their own
skirted tables, tents, chairs and equipment, if applicable. Storage boxes and containers must be kept out of sight. The festival will only be providing a space, not equipment.

6. Vendor placement will be assigned on a first-come, first-served basis upon arrival. Merchandise vendors will have 30 minutes to unload materials, then remove vehicle(s) from park grounds.

7. Setup begins at 8:30 AM. All vendors must complete setup by 11:00 AM. Vehicle Access: No vehicles are permitted on the park grounds after 10:00 AM.

8. Breakdown time should begin by 6:00 PM. All vendor belongings must be cleared by 8:00 PM.

9. The vendor agrees to release BurnBush Entertainment, Inc., The Lowcountry Fish and Grits Music Festival, Island Recreation, and the town of Hilton Head Island from any liability of loss or damage to the vendor's property and/or person.

10. The Town of Hilton Head Island requires that all vendors have a current business license from the Town of Hilton Head. There are no exceptions. [https://hiltonheadislandsc.gov/permits/]

11. No vendor will sell or distribute merchandise that includes the event logo, the term "Lowcountry Fish and Grits Music Festival," or any other likeness.

12. Vendors agree to serve at least a sampling of Fish and Grits (and/or Fish Tacos) or a vegan dish in line with the festival's theme.

13. Food vendors are responsible for obtaining food safety information from the Town of Hilton Head and the State of South Carolina and assume responsibility for your station. Each vendor is responsible adhering to temperature, cleanliness, gloves and other issues related to food safety.

14. Area must be kept clean and in compliance with the Department of Health and Environmental Control (DHEC) Regulations at all times. If requested to shut down by DHEC for any reason, vendor will be required to immediately leave the premises.

15. Each vendor station has access to 50 AMPS of electricity.

16. Vendor permits Burnbush Entertainment and/or its affiliated partners to record, photograph, or otherwise reproduce the visual and/or audio captured during and after the event for promotional purposes.

17. Rights to Terminate. Burnbush may terminate this Agreement upon written notice to Vendor, if Burnbush determines that continued affiliation with Vendor is inconsistent with Burnbush’s mission or philosophy and/or adversely impacts the reputation of Burnbush.

18. General Indemnity. To the fullest extent permitted by law, Vendor will and does hereby agree to indemnify, protect, defend with counsel approved by Burnbush, and hold harmless Burnbush, and their respective affiliated enterprises, regents, officers, directors, attorneys, employees, Representatives and agents (collectively “indemnitees”) from and against all damages, losses, liens, causes of action, suits, judgments, expenses, and other claims of any nature, kind, or description, including reasonable attorneys’ fees incurred in investigating, defending or settling any of the foregoing (collectively “claims”) by any person or entity, arising out of, caused by, or resulting from, in whole or in part, any negligent act, negligent omission or willful misconduct of Vendor, anyone directly employed by Vendor or anyone for whose acts Vendor may be liable. The provisions of this section will not be construed to eliminate or reduce any other indemnification or right which any indemnitee has by law or equity. All parties will be entitled to be represented by counsel at their own expense.

19. Compliance with Law and Rules; Licenses and Permits. Vendor and Burnbush will comply with all Applicable Laws and Burnbush Event Rules. In addition, each party will obtain and maintain in effect at its sole expense, all licenses or permits that are required for that party’s performance of this Agreement.

20. Force Majeure: The performance of this Agreement is subject to termination without liability upon the occurrence of any circumstance beyond the reasonable control of either Party such as acts of God, war, government regulations, disaster, excessive elements of nature, pandemics, strikes, or civil disorder (“Force Majeure Event”). The ability to terminate this agreement without liability pursuant to this paragraph is conditioned upon delivery of written notice to the other party setting forth the basis for such termination as soon as reasonably practical.

21. Venue: Governing Law. Vendor agrees and subjects themselves to the personal jurisdiction, venue, and laws of the State of Georgia, or in any venue where there will be the proper place of venue for suit on or in respect of this Agreement. This Agreement, all of its terms and conditions, all rights and obligations of the parties, and all claims arising out of or relating to this Agreement, will be construed, interpreted and applied in accordance with, governed by, and enforced under the laws of the State of Georgia.Survival of Provisions. No expiration or termination of this Agreement will relieve either party of any obligations under this Agreement that by their nature survive expiration or termination
