Partner Agreement
Please read the full agreement below before signing.
1. Permission & Scope
ACLP grants Partner a non-exclusive, revocable, non-transferable license to use the ACLP Learning Circle model, curriculum, and associated organizer materials solely for Partner's own program delivery. This permission does not constitute a franchise, joint venture, employment relationship, or endorsement of Partner's organization or services.
2. No Medical Advice; Facilitator Responsibility
ACLP does not provide medical advice, clinical services, or individualized health recommendations. ACLP's curriculum is for general educational purposes only. Partner is solely responsible for: screening, training, and supervising all facilitators; all facilitator conduct, statements, and interactions with participants; ensuring facilitators communicate clearly that the program is educational, not medical; and all program delivery, logistics, and participant communications.
3. No Warranties or Guarantees
ACLP provides its materials "as is." ACLP makes no representations or warranties, express or implied, regarding the accuracy, completeness, or fitness for a particular purpose of the ACLP Materials. ACLP makes no guarantees regarding participant outcomes, satisfaction, health results, or the success of Partner's program.
4. Indemnification & Hold Harmless
Partner agrees to indemnify, defend, and hold harmless the Anticancer Lifestyle Foundation, its officers, directors, employees, volunteers, and agents from and against any and all claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: Partner's facilitation, hosting, or promotion of its Learning Circle program; any facilitator's statements, actions, or conduct; Partner's communications with participants; Partner's technology, platform, or delivery methods; any participant complaints, refund disputes, or claims of harm; and any unauthorized use or misuse of ACLP's name, logo, or materials.
5. Partner Operational Responsibilities
Partner is solely responsible for all aspects of program operations, including: facilitator selection, training, and oversight; participant recruitment, registration, and communications; technology, platforms, and technical support; any fees charged to participants and associated refunds or disputes; and compliance with all applicable laws and regulations.
6. Brand Use & Attribution
Partner's use of ACLP's name, logo, and marks is subject to the ACLP Partner Branding & Attribution Guide. Partner agrees to: include the ACLP logo and required attribution language in all promotional materials; use ® with the full ACLP logo and ™ on first mention of "Anticancer Learning Circle(s)", noting both are trademarks of the Anticancer Lifestyle Foundation; not present its organization as ACLP or imply it is the Anticancer Lifestyle Program; and not alter, reproduce, or redistribute ACLP Materials beyond permitted use. ACLP may revoke this permission if Partner misuses ACLP's brand or creates reputational or legal risk.
7. Termination
Either party may terminate this Agreement at any time with written notice. Upon termination, Partner must immediately cease all use of ACLP Materials, name, and logo. Sections 3, 4, and 6 (indemnification, warranties, and brand obligations) survive termination.
8. Governing Law
This Agreement shall be governed by the laws of the State of New Hampshire, without regard to conflict of law principles.
