Overview of Non-Disclosure Agreement
A non-disclosure agreement (NDA), is a legal contract between at least two parties that outlines confidential material, knowledge, or information that the parties wish to share with one another for certain purposes, but wish to restrict access to or by third parties. It is a contract through which the parties agree not to disclose information covered by the agreement. An NDA creates a confidential relationship between the parties to protect any type of confidential and proprietary information or trade secrets.

This non-disclosure agreement is written for for use in the Star Wars Combine, between The Resistance and an individual or an organization. Agreements between The Resistance and individuals may include but are not limited to: faction members of The Resistance, faction members of allied factions, and faction members of other factions contracted to work for The Resistance. Agreements between The Resistance an organizations may include but are not limited to:  nationalized factions of The Resistance, factions allied to The Resistance, Non-Faction Groups (NFGs) allied to The Resistance, and Non-Faction Groups contracted to work for The Resistance.
Introduction
This Nondisclosure Agreement (the "Agreement") is entered into by and between [The Resistance] ("Disclosing Party") and [_______________] ("Receiving Party") for the purpose of preventing the unauthorized disclosure of Confidential Information as defined below. The parties agree to enter into a confidential relationship with respect to the disclosure of certain proprietary and confidential information ("Confidential Information").

1. Definition of Confidential Information
1.1. For purposes of this Agreement, "Confidential Information" shall include all data or information or material that is or could be considered sensitive information about or regarding the disclosing party.

1.2. This includes, but is not limited to:

 1.2.3. Faction Status Overview
 1.2.4. Faction Inventories
 1.2.5. Inner Faction Communication
 1.2.6. Inter-Faction Communication
 1.2.7. Faction Strategic Planning
 1.2.8. Faction Operations
 1.2.9. Faction Contracts
 1.2.10. Technical Documents
 1.2.11. Sales Information
 1.2.12. Development Plans
 1.2.13. Information from Resistance Fourms
 1.2.14. Information from Discord
 1.2.15. Information from other chat/messaging platforms

1.3. When in doubt, the receiving party should contact Resistance High Command to determine if something is confidential or public.  

1.4. Not knowing if data or information is confidential, is not an excuse or justification for unauthorized the release of data or information.

1.5. Unauthorized release of confidential data or information will result in legal action being taken against the receiving party, and prosecution to the severest extent of the law.
2. Obligations of the Receiving Party
2.1. Receiving Party shall hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of the Disclosing Party.
2.2. Receiving Party shall carefully restrict access to Confidential Information to employees and/or contractors.

2.3. The Receiving Party may only disclose confidential information to its employees or contractors with the approval of he disclosing party, and those employees and/or contractors are required to sign this agreement before any confidential information may be disclosed.

2.4. Receiving Party shall not, without prior written approval of Disclosing Party, use for Receiving Party's own benefit, publish, copy, or otherwise disclose to others, or permit the use by others for their benefit or to the detriment of Disclosing Party, any Confidential Information.

2.5. Receiving Party shall return to Disclosing Party any and all records, notes, and other written, printed, or tangible materials in its possession pertaining to Confidential Information immediately if Disclosing Party requests it in writing.
3. Time Periods
3.1. The nondisclosure provisions of this Agreement shall survive the termination of this Agreement and Receiving Party's duty to hold Confidential Information in confidence shall remain in effect in perpetuity,  or until Disclosing Party sends Receiving Party written notice releasing Receiving Party from this Agreement.
4. Relationships
4. Nothing contained in this Agreement shall be deemed to constitute either party a partner, joint venturer or employee of the other party for any purpose.
5. Integration
5. This Agreement expresses the complete understanding of the parties with respect to the subject matter and supersedes all prior proposals, agreements, representations and understandings. This Agreement may not be amended except in a writing signed by both parties.
6. Signatories
This Agreement and each party's obligations shall be binding on the representatives, assigns and successors of such party. Each party has signed this Agreement through its authorized representative.
Disclosing Party
The Resistance hereby enters into this Non-Disclosure Agreement with the Receiving Party, upon the completion of this document by the Receiving Party.
