Thank you for your interest in NHN Entertainment Corporation (“NHN Entertainment” or “We”). In order to clarify the intellectual property license granted with Contributions from any person or entity, We require a Contribution License Agreement (the "CLA") signed by each Contributor, indicating agreement to the license terms below.

This CLA allows you to submit Contributions to NHN Entertainment and to grant license of the copyright and any associated intellectual property rights thereto. Please read the CLA carefully before submitting it online as the CLA will come into effect as of the submission date. "You" (or "Your") shall mean the intellectual property holder or legal entity authorized by such intellectual property holder that enters into this CLA with NHN Entertainment.

Your "Contribution(s)" shall mean contributions of object code, source code and documentation submitted by You to NHN Entertainment for inclusion in any of the open source projects owned or managed by NHN Entertainment (the "Project"), but excluding communication that is conspicuously marked or otherwise designated in writing by You as "Not a Contribution."

Subject to the terms and conditions of this CLA, You hereby grant to NHN Entertainment and to recipients of the open source distributed by NHN Entertainment through the Project a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable license to make, reproduce, copy, transmit, publish, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and the derivative works including the intellectual property incorporated therein.

You represent that the Contribution is Your original creation and that You are legally entitled to grant the above license.

If Your submission of Contribution is made in the course of Your work for an employer or Your employer holds intellectual property rights in Your Contribution by contract or applicable law, You must secure permission from Your employer to submit the Contribution before signing this CLA. In that case, the term “You” will refer to You and the employer collectively.

If You are submitting the Contribution on behalf of a third party intellectual property holder, You are required to acquire the approval of that third party intellectual property holder and conspicuously mark the work as "Submitted on behalf of a third-party intellectual property holder: [named here]".

In all of the cases provided above, You represent that Your Contribution submissions include complete details of any existing third-party license or other restriction (including, but not limited to, related patents and trademarks) of which You are personally aware and which are associated with any part of Your Contributions.

You are not expected to provide support for Your Contributions, except to the extent You desire to provide support. Unless required by applicable law or agreed to in writing, Your Contributions are provided on an as-is basis, with all faults, defects and errors, and without any warranty of any kind.

The CLA is governed by the laws of the Republic of Korea, and You and NHN Entertainment consent to exclusive jurisdiction and venue in the Seoul Central District Court.

The CLA constitutes the entire agreement between You and NHN Entertainment, and supersedes any and all prior agreements, understandings or communications, written or oral, between You and NHN Entertainment relating to the subject matter hereof. This Agreement may be assigned by NHN Entertainment.

You agree to immediately notify NHN Entertainment of any facts or circumstances of which You become aware that would make these representations inaccurate in any respect.

By submitting this CLA online with Your electronic signature, You hereby accept and agree to the terms and conditions of this CLA for Your present and future Contribution to NHN Entertainment.
