About Vélo Canada Bikes:  

Vélo Canada Bikes (VCB), founded in 2012, is a national non-profit organization working to build a bicycle friendly Canada.  We are the national voice and organizing body for promoting cycling as a means of everyday transportation and recreation.  

We work at the federal level and collaborate with all levels of government, industry, academia, and social sector organizations to:
  • Improve access to safe cycling for all people in Canada
  • Promote the bicycle as a transportation mode of choice for moving people and goods.
  • Gather and disseminate the latest knowledge and trends related to cycling
  • Influence policy and funding for cycling in Canada
  • Educate Canadians regarding the benefits of access to safe cycling, and how this can transform our society into a healthier, greener, more equitable and prosperous place
  • Support and amplify cycling advocacy efforts across the country
Our member organizations represent thousands of people across Canada. The evidence is clear that more cycling leads directly to happier, healthier, and more economically and environmentally sustainable communities.

Purpose
The purpose of Vélo Canada Bikes as per our Incorporation Papers:
The Corporation will advance cycling as a means of transportation, recreation and touring for all people, by making cycling attractive, safe, accessible and convenient across Canada.

BOARD OVERVIEW
Composition: Up to 16 Directors, elected by the membership at an AGM.
Executive Officers: Chair, Vice-Chair, Secretary, Treasurer
Board Meetings are chaired by the Chair, or Vice-Chair in case of Chair's absence.

Experience and Skills:
To move the organization and these initiatives forward, we are seeking people who are passionate about cycling to provide leadership, experience and advice in one or more of the following areas:
- Fundraising/Fund Development
- Financial/accounting
- Legal
- Strategic Planning
- Organizational development
- Membership development
- Marketing/Communication
- Campaigning

Demographics:
We highly encourage directors who reside in provinces not yet represented on the Vélo Canada Bikes board to balance our perspective. Further we strive to diversify the Board through representation from a wide range of ethnicities, ages, genders and backgrounds, to more accurately represent the population of Canada.

Regular Board Meetings:
The board meets roughly every month - about 10 times a year.  We are a virtual organization and meetings occur virtually over video conference.

Time Commitment: Board Directors spend a minimum of 4-8 hours per month on Vélo Canada Bikes work, including preparation for and attending Board meetings, corresponding by email and voting in electronic motions, fulfilling Action Items from Board meetings, and taking an active role in at least one Board Committee.

Roles and Responsibilities of the Board
The Vélo Canada Bikes Board of Directors is a Working Board and a Governance/ Policy Board. In addition to setting policies and approving the annual budget, the Board sets short- and long-term goals for the Corporation, guides the Corporation’s programs and services, ensures funding is secured, oversees the Corporation’s human resources through the placement and overview of the Executive Director , and directs communications with external stakeholders.

Responsibilities of the Board Jointly:
- provides leadership by setting goals, objectives, and priorities for the Corporation
- establishes and oversees the policies of the Corporation
- follows the Constitution which govern the Corporation’s organization and activities
- ensures the Corporation has the funds and facilities to operate
- ensures the Corporation is operating according to the Canada Not-for-profit Corporations Act
- informs their community about the Corporation and our work
- advocates for the needs of our constituents
- works with other societies, agencies, and services
 
Responsibilities of Individual Board Members:
- attend all Board meetings
- phone or e-mail if you must be late or absent
- respect the confidentiality of sensitive information
- review reports and minutes and be prepared to discuss them
- share responsibility for all projects undertaken by the Board on behalf of the Corporation (fundraising, special events, etc.)
- recruit Board and Committee members
- actively represent Vélo Canada Bikes in the community as ambassadors
- make a donation to Vélo Canada Bikes (according to own ability)
- commit and be accountable to playing a role in new fundraising activities (e.g. make introductions, open doors, enlist new donors, etc)
- learn as much as possible about:
    - Vélo Canada Bikes
    - cycling issues in Canada

Board of Directors’ Liability:
A Board of Directors is the legal entity for a non-profit organization.  Board members are legally responsible for the activities of the Board.  Vélo Canada Bikes maintains a comprehensive insurance policy with a 2 million limit for commercial general liability (including directors) and a $1 million limit for other director liability.
