WHEREAS, CHERRYWOOD owns right and title to the Cherrywood Fabrics name, brand, and items, including but not limited to fabrics, kits, patterns, and other Cherrywood products (“Products”), and the RETAILER desires to purchase Products at wholesale with the intention of selling to a third party, the following TERMS & CONDITIONS shall apply.

CHERRYWOOD hereby grants to RETAILER the right to display and sell Products in their brick & mortar shop, on their website, and/or at quilt or other craft shows.

RETAILER must register for an account on the CHERRYWOOD wholesale website and provide such documentation as is required in the registration form.

For the purpose of the annual minimum, a year shall be defined as a calendar year from January 1 - December 31. The minimum annual requirement shall commence from the January 1 following RETAILER's enrollment as a wholesale account.

RETAILER shall sell product at MSRP unless otherwise agreed by CHERRYWOOD FABRICS.

RETAILER shall instruct their staff in knowledge of CHERRYWOOD products and proper care of hand-dyed fabrics. CHERRYWOOD shall provide appropriate literature regarding fabric care upon request.

RETAILER may not represent themselves as CHERRYWOOD FABRICS either in their retail establishment or at quilt or other shows except with express written permission from CHERRYWOOD.

RETAILER may list themselves as an “Authorized Cherrywood Fabrics Retailer” and use the CHERRYWOOD logo and other images provided by CHERRYWOOD FABRICS in displays and/or in marketing materials.

CHERRYWOOD fulfills wholesale orders in the order in which they are received. RETAILER shall be informed of approximate lead time, but may expect that orders may require 2-8 weeks to fulfill depending on stock on hand, dyeing queue, and other production factors.

This agreement shall remain in effect until such time as RETAILER cancels with written notice, or CHERRYWOOD cancels due to RETAILER’s noncompliance with these Terms & Conditions.
