Board Member Agreement: Please read the Board Member Description and Agreement below which outlines the expectations of incoming and current board members. Applying to become a Board Member implies you accept the responsibilities as outlined in the Board Member Description and Agreement. If selected as a Board Member, you will be required to sign the agreement.

Member of the Board of Directors
The Board will support the work of USRWA and provide mission-based leadership and strategic governance. While day-to-day operations are led by USRWA's Executive Director (ED), the Board-ED relationship is a partnership, and the appropriate involvement of the Board is both critical and expected.
USRWA's Board Members The term of each director of the Association will be two years. Board members may stand for election every two years. There are no term limits.
Board Member Responsibilities
* Leadership, Governance and Oversight
* Be aware of, and claim, potential conflicts of interest
* Know and effectively relate the mission, purpose, goals, and programs of USRWA
* Establish, enforce, and adhere to organizational policies
* Accept full fiduciary responsibility for USRWA's financial accountability by approving USRWA's annual budget, financial reports, and material business decisions; being informed of, and meeting all, legal and fiduciary responsibilities
* Hire, support, advise, and evaluate USRWA's Executive Director
* Maintain full confidentiality of all USRWA board meetings
* Assist the Nominating Committee chair in identifying and recruiting other Board Members
* Ensure a commitment to a diverse board and staff that reflects our communities
Meetings, Events, and Communication
* Attend and participate in board meetings
* Actively attend and participate in at least one committee
* Attend USRWA's annual meeting
* Attend USRWA's events and/or volunteer workdays, as able
* Be accessible, at least by phone or e-mail, to staff and other board members as needed.
Fundraising
* Actively champion USRWA in your community
* Make a personally significant financial contribution to
USRWA
* Make thank you calls to donors, as directed by the Executive Director
* Participate in fundraising activities when asked by the Executive Director
* Identify friends and associates who might be prospective donors, committee or board members
* Seek opportunities in your community to present on USRWA (civic clubs, service groups, etc.)
Upper Sugar River Watershed Responsibilities
USRWA agrees to provide each member of the board with the following:
* Ample notice of all meetings
* Access to minutes of all meetings (if taken)
* All relevant information to conduct their job as a board member
* Respect for their time
* The effective use of their talents
