Contractual Relationship  

These Terms are an agreement between the User (“you” or “User”) and Egg School LLC (“Company”, “Us”, Or “Our”), and set forth the terms and conditions that govern your access and use of the Egg School website (“Site”).

If you decide to sign-up to use the Egg School Platform as a Tutor, you will need to execute a separate Independent Contractor Agreement with respect to your use of the Egg School Platform as a Tutor.

 

The Terms form a legally binding agreement between you and us. Please take the time to read them carefully. You should print or save a copy of the Terms for your records. By assessing and using the Site, you are deemed to have agreed to the Company’s Terms of Use, and by signing up as a Tutor (after the execution of the Independent Contractor Agreement) you are deemed to be bound by the Terms of Use.

Ownership and Changes of the Terms of Use

These Terms of Use shall be effective when the User clicks the “Accept” button of these Terms of Use.

These Terms of Use apply to the Egg School website which is owned by the company. This Site operated by the Company, and resources on the Site are owned, for most parts, by the company. The Website may use resources owned by third parties and posted on the Site by virtue of a license, grant, or some other form of agreement between the third party and the Company.

Time to time, the Terms of Use may change to the extent that they do not violate relevant laws and regulations. In case of any changes, the Company will notify or inform the User about the changes through the Site Notice Service or board at least seven (7) days prior to the effective date. If the changes can inevitably affect you adversely, the Company will send an email to the User’s designated email or SMS to a mobile phone number which the User has registered, post an alarm message, or use any other reasonable means to notify or inform the User about the changes at least thirty (30) days prior to the effective date.

Access and Use

All components contained in this Website are protected by international trademark and copyright laws and must only be used for personal, non-commercial purposes. This means that the User can view or may download material from this Site only for the User’s personal use and the User must keep all copyright and other proprietary notices attached to the download components. Images used in this Site are the copyright of the Company unless expressly marked otherwise.

The reproduction, duplication, distribution (including without limited; email, facsimile or other electronic means), publication, modification, copying or transmission of components from this Website is PROHIBITED unless you have obtained written consent or have a prior agreement with the Company or unless it is expressly permitted by this Website. Responsible Obligation of the Account Holder

1.       The User should be the only person who signs into the registered account. Any personal account information should never be shared with any other third party.

2.       The Company may require the User to enter a password and go through an additional user identification process to prevent others from accessing your account without the User’s formal consent.

3.       If the User finds or learns of any unauthorized use, please contact the Company customer services, and let the Company know as soon as you are aware of the unauthorized use.

4.        The User may view and change your information using the Settings menu provided in the Site Services. However, the User may not be able to change some information such your account ID, phone number, other identification information required by the Company to provide and manage the Company Site Services. If in any circumstances the User need to change or update identification information, the User may change it by contacting the Company and providing proof of that need.

All information, content and components displayed on this Website and all code comprised within this Website are the property of the Company. All information, content and components displayed on this Website are protected by copyright laws and treaties around the world and all rights are reserved.

Prohibited Activities

A User may not access or use the Website for any purpose other than that for which we make the Website available. The Website may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

Terminating the Use of Service

1.     The User can request to terminate the use of the Service at any time, by using the menu provided in the Online Services. The Company will take actions accordingly in a manner as required under the relevant laws and regulations.

2.     Upon the termination, unless the Company requires to preserve or save the User’s information following the relevant law and/or the Privacy Policy, all data such as the User’s information or posts will be deleted.

3.     At any time, with the consent of the Independent Contract Agreement made with the company, the User may re-apply for using the Services again.

The Company shall take all measures to terminate or suspend the User, if the User falls under any of the following reasons:

1. The User registers or records any false identification information or other information when signing for the User account.

2. The User or any other third party sells, transfers, lends or provides the User’s account for others to use.

3. The User uses the personal information of someone else or violates someone else’s personal information.

4. The User uses, transmits or posts information (such as, detail of a computer programs) that are prohibited by the Company.

5. The Unser infringes on the intellectual property rights of the Company or a third party.

6. The User commits any indirect or direct act to defame or harm the Company’s value, reputation, or business activities.

7. The User directly or expressly threatens or posts intent to harm others in forms of texts, images, sounds or other manners.

8. The User avoids, disregards, or evades the Company’s technical protection measures.

9. The User commits any actions prohibited by laws or of these Terms of Use.

10. In any event if the User had displayed a defamatory, offensive, or aired illegal action (sexual harassment or immoral behaviors) to the Student, the User’s account will be restricted with use of Service by suspending a part or all of the Services on a temporary or permanent basis.  If the User repeats the same violative actions during the Service suspension and has not been corrected within 7 days, the User will be immediately terminated and will be subject to legal action. If in any circumstance the User raises a lawful objection with proof that the User did not violate the Terms of Use, and the objection is legally validated, the User’s Account will be restored immediately.  

 

Privacy Policy

These Terms of Use shall be effective when the User clicks the “Accept” button of these Terms of Use.

 

Please refer to the Privacy Policy and click the “Accept” button to agree to the Terms which is incorporated into and is a part of this Agreement. Data collection and its use, including the Company’s procedural steps about data collection and the use of the personal information given to the Company is governed by the Privacy Policy.

Disclaimer and Limitation of Liability

The User has sole responsibility when using and browsing the Site. And the User acknowledges that visiting the Site is done with sole discretion and at the User’s own risk.

EXCEPT as otherwise provided above, everything on the Website, including any services, is provided as is without any warranty of any kind, either expressed or implied, fitness for a particular purpose, and noninfringement. The Company makes no warranties or representations regarding the information or content contained on the Websites, and specifically disclaims any warranty as to the suitability, reliability, timelessness or accuracy of the information or content contained on the website for any purpose. The Company does not warrant that the functionalities contained in the content will be uninterrupted or error-free, that defects will be corrected, or that the Websites or the server that makes such content available are free of viruses or other harmful components. The Company does not warrant or make any representation regarding the User or the result of the use of correctness, accuracy, reliability or otherwise. The User assumes the entire cost of all necessary servicing, repair, or correction. To the extent applicable law does not allow the exclusion of implied warranties, the above exclusion may not apply to the User.

Under no circumstances shall the Company or any of its vendors be liable for any damages that result from the use of or inability to use the Company Site, including but not limited to reliance by the User on any information or content obtained from the Websites that result from mistakes, omissions, interruptions, deletion of files or emails, errors, defects, viruses, delays in operation or transmission, or any failure of performance, whether or not resulting from acts of nature, communications failure, theft, destruction, unauthorized access to the company’s records, programs or services, or otherwise. The User hereby acknowledges that this disclaimer and limitation of liability shall apply to all contents and services available through this Website.

In no event shall the Company or an affiliate of the Company entity or individual or licensor be liable for any indirect, consequential, special, incidental or punitive damages arising out of the User’s access to, or use of, the Website or the content thereon, whether in a contract action or based on negligence, or other tort action, or any other claim whatsoever, even if the Company or the Company authorized representative has been advised of the possibility of such damages. Should applicable law not allow the limitation or exclusion of liability of incidental or consequential damages, the above limitation or exclusion may not apply to the User.

The Company will indemnify the User for any loss which has occurred as a result of the fault of the Company in Compliance with the Terms of Use and relevant laws. However, the Company will not be liable for any loss or damage caused by any of the following without the Company’s fault, and to the extent permitted by law the Company will not be responsible for indirect, unique, consequential, exemplary, or punitive damages.

 

1.     Loss due to natural disaster or another force majeure.

2.     Service errors due to reasons attributed to the User.

3.     Personal loss arising from the access to or use of the Services.

4.     Losses due to illegal access to or use of our server by a third party.

5.     Losses due to interference in transmission to or from our Server.

6.     Losses due to transmission or spread of malware by a third party.

7.     Damages arising from the use of Services by a third-party including omissions, loss or destruction of transmitted data, or defamation, etc.

8.     Other losses arising from acts of the Company that are not intentional or negligent.

 

Force Majeure

Neither the Company nor the User shall be responsible for damages or for delays or failures in performance resulting from acts or occurrences beyond the Company’s or Users respective reasonable control, including, without limitation; fire, lightening, explosion, power surge, or failure, water, force majeure, war, revolution, civil commotion or acts of civil or military authorities or public enemies: any law, order, regulation, ordinance, or requirement or any government or legal body or any representative of any such government or legal body; or labor unrest, including without limitation, slowdowns, picketing or boycotts; inability to secure law materials, transportation facilities, fuel or energy shortage, or acts or omissions of other common carriers.

Government Law

The Website is created and controlled by the Company in Seoul, Republic of Korea, unless otherwise notified or noted. These disclaimers, terms, and condition of use are governed by the laws of Republic of Korea. By using any of the Website, the User hereby consents to the exclusive jurisdiction and venue of courts in Republic of Korea in all disputes arising out of or relating to the use of the Website. If any portion of these terms is held to be unenforceable, the unenforceable potion shall be construed in accordance with applicable law to the greatest extent possible to reflect the original intentions of the parties, and the remainder of the provisions shall remain in full force and effect. The Company’s failure to insist upon or enforce strict performance of any provision of these Terms of Use shall not be construed as a waiver of any provision or right.
