RegistryOffice AS, a Norwegian Limited Company, (“we”, “us”, “our”, “RegistryOffice”) provides this online website available at (the “Portal”). The Portal provides reports and tools related to the RegistryOffice Services (the “Services”) provided to you by RegistryOffice under separate agreement. The RegistryOffice Agreement and any Service Appendices for the Services (the “RegistryOffice Agreement”) are incorporated herein by reference and form part of the following terms and conditions (“Terms”). The Terms govern your access to and use of the Portal and constitute a binding legal agreement between you and RegistryOffice.

You acknowledge and agree that by accessing or using the Portal you agree to these Terms. Furthermore, by accessing or using the Portal you are indicating that you have the legal capacity to agree to these Terms and that you understand and agree to be bound by these Terms. If you do not agree to these Terms, then you have no right to access or use the Portal and you should instead leave our website.

If you are accessing the Portal on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Terms and, in such event, “you” and “your” will refer and apply to you and that company or other legal entity.

1. Accounts

1.1 You are required to sign a contract in order to use the Portal. You agree that all information provided by you is accurate, complete and up-to-date and that you will inform RegistryOffice of any material changes for so long as you access or use the Portal. RegistryOffice reserves the right to suspend or terminate your Account and your right to use the Portal if any information provided during the contract process or thereafter proves to be inaccurate, not current or incomplete. Other than as permitted by these Terms, you may not use the account(s) of others, or allow others to use your account, and you are responsible for preventing such unauthorised use.

1.2 You agree that we rely on your log in credentials to confirm whether users accessing or using the Portal are authorised to do so. If a user accesses the Portal using account credentials that were issued to you, we will rely on that and will assume that you personally are accessing the Portal. You are solely responsible for any and all access to the Portal or use of the Portal by persons using your credentials. Please notify us immediately if you become aware that your credentials are being used without authorisation.

2. Disclaimers

2.1 The Portal is provided “as is”, without warranty of any kind, either express or implied. Without limiting the foregoing and to the extent permissible by applicable law, RegistryOffice expressly disclaims all warranties, express or implied, regarding the Portal, including any implied warranty of quality, availability, merchantability, fitness for a particular purpose, quiet enjoyment or non-infringement, and any warranties arising out of course of dealing or usage of trade. You hereby agree to release RegistryOffice from any and all damages or claims in any way connected with the Portal. RegistryOffice makes no warranty that the Portal will meet your requirements or be available on an uninterrupted, secure, or error-free basis. No advice or information, whether oral or written, obtained from RegistryOffice or through the Portal, will create any warranty not expressly made herein.

2.2 These Terms do not create any partnership, employment, agency or other relationship between the parties.

3. Modification

3.1 RegistryOffice reserves the right, at its sole discretion, to modify, discontinue or terminate the Portal or to modify these Terms, at any time and without prior notice. If we modify these Terms, we will post the modification on the Portal or provide you with notice of the modification. By continuing to access or use the Portal after we have posted a modification, you are indicating that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using the Portal.

4. Intellectual Property

4.1 You acknowledge and agree that all copyright, trademarks, database rights and all other intellectual property rights in all material or content supplied as part of the Portal shall remain at all times vested in us or our licensors. You are permitted to use this material only as expressly authorised by us or our licensors and in connection with your use of the Portal.

4.2 You must not use any part of the materials contained in the Portal for any purpose other than as described in these Terms, without the prior written consent of RegistryOffice.

5. Prohibited Uses

5.1 You may use the Portal only for lawful purposes and in accordance with the ethos of the Portal. You may not use the Portal for any of the following purposes:

5.1.1 to use, display, mirror, screen scrape or frame the Portal, or any individual element within the Portal, RegistryOffice' name, any RegistryOffice trade mark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without RegistryOffice’s express written consent;

5.1.2 to access, tamper with, or use non-public areas of the Portal, RegistryOffice’s computer systems, or the technical delivery systems of RegistryOffice’s providers;

5.1.3 to attempt to probe, scan, or test the vulnerability of any RegistryOffice system or network or breach any security or authentication measures;

5.1.4 to avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by RegistryOffice or any of RegistryOffice’s providers or any other third party (including another user) to protect the Portal;

5.1.5 to attempt to access or search the Portal, or download content from the Portal through the use of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by RegistryOffice or other generally available third party web browsers;

5.1.6 to send any unsolicited or unauthorised advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;

5.1.7 to use any meta tags or other hidden text or metadata utilising a RegistryOffice trade mark, logo URL or product name without RegistryOffice’s express written consent;

5.1.8 to use the Portal for any purpose or for the benefit of any third party or in any manner except as permitted by these Terms;

5.1.9 to forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Portal to send altered, deceptive or false source-identifying information;

5.1.10 to attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Portal;

5.1.11 to interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Portal;

5.1.12 to collect or store any personally identifiable or source identifying information from the Portal or from other users of the Portal without their express permission;

5.1.13 to impersonate or misrepresent your affiliation with any person or entity;

5.1.14 to violate any applicable law or regulation;

5.1.15 to use the Portal in any manner which is incompatible with the interests of RegistryOffice, it affiliates, partners or other users; or

5.1.16 to encourage or enable any other individual to do any of the foregoing.

5.2 RegstryOffice may involve and cooperate with law enforcement or other regulatory authorities which it has reasonable suspicion that any action have been taken by a user which breaches any applicable law.

6. Links

6.1 The Portal may contain links to third-party websites or resources (“Third Party Websites”). You acknowledge and agree that RegistryOffice is not responsible or liable for:

6.1.1 the availability or accuracy of such websites or resources; or

6.1.2 the content, products, or services on or available from such Third Party Website.

6.2 Links to such Third Party Website do not imply any endorsement by RegistryOffice of such websites or resources or the content, products, or services available from such Third Party Website. You acknowledge sole responsibility for and assume all risk arising from your use of any such Third Party Website.

7. Indemnity

You agree to defend, indemnify, and hold RegistryOffice, its officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Portal or your violation of these Terms.

8. Privacy

8.1  RegistryOffice’s privacy policies explain how we treat your personal data and protect your privacy when you use our Services. By using our Services, you agree that RegistryOffice can use such data in accordance with our privacy policies.

9. Limitation of Liability

9.1 Nothing in these Terms shall exclude or limit in any way our liability:

9.1.1 for death or personal injury caused by our negligence;

9.1.2 for fraud or fraudulent misrepresentation; or

9.1.3 for any matter for which it would be illegal or unlawful for us to exclude or limit, or attempt to exclude or limit, our liability.

9.2 Subject to the foregoing paragraph and to the fullest extent permitted by law, and unless otherwise stated in these Terms, we accept no liability for any losses (whether direct, indirect or consequential) incurred by you and whether caused by tort (including negligence) or for breach of contract or otherwise, even if foreseeable, including (without limit) for any:

9.2.1 loss of income or revenue;

9.2.2 loss of business;

9.2.3 loss of profits or contracts;

9.2.4 loss of anticipated savings;

9.2.5 loss of data; or

9.2.6 waste of management or office time.

9.3 In the event that RegistryOffice is found to be liable to you for any reason, the sums payable to you in respect of such liability shall not in any circumstances exceed the fees charged by RegistryOffice to you for the Services for which you are accessing or using the Portal.

9.4 Due to the online nature of the Portal and the potential for errors in the storage and transmission of digital information, we do not warrant the accuracy and security of information transmitted to or obtained from the Portal.

9.5 Nothing in these Terms will affect your statutory rights.

10. Termination

10.1 RegistryOffice reserves the right to suspend or terminate, in our sole discretion, your access to and use of the Portal and/or user account at any time and for any reason.

11. Governing Law and Jurisdiction

11.1 The courts of Norway will have exclusive jurisdiction over any claim arising from, or related to, the use of the Portal although we retain the right to bring proceedings against you for breach of these Terms in your country of residence or any other relevant country. These terms are governed by the laws of Norway.

12. Entire Agreement & Conflict of Terms

12.1 These Terms constitute the entire and exclusive understanding and agreement between RegistryOffice and you regarding your use of the Portal and these Terms supersede and replace any and all prior oral or written understandings or agreements between RegistryOffice and you regarding the Portal.

12.2 The Services are provided to you under the RegstryOffice Agreement. If there is any conflict between these Terms and the RegistryOffice Agreement regarding the Services, the RegistryOffice Agreement shall prevail.

13. Severability

13.1 If any provision or part-provision of these Terms is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this Clause shall not affect the validity and enforceability of the rest of these Terms.

14. Assignment

14.1 You may not assign or transfer these Terms, by operation of law or otherwise, without RegistryOffice’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be void. RegistryOffice may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

15. Notices

15.1 Any notices or other communications required hereunder will be in writing and given: (i) by RegistryOffice via email (in each case to the address that you provide) or (ii) by posting to the Portal.

16. Waiver

16.1 The failure of RegistryOffice to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorised representative of RegistryOffice. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.
